本協(xié)議于 年 月 日， 由ABC公司（一家根據(jù)中國法律組建并存在的公司，其主營業(yè)地在 ，以下簡稱賣方）與XYZ公司（一家根據(jù)XX國法律組建并存在的公司，其主營地在XXX，以下簡稱代理商）共同簽定并一致約定如下：

XXX(hereinafter called seller) and XYZ CO.,LTD. a corporation uly organized and existing under the laws of XXX , with its principal of business at XX(hereinafter called agent) ,Whereby it's mutually agreed as follows:

第一條 委任與接受

在本協(xié)議有效期內(nèi)，賣方指定代理商為本協(xié)議第四條項(xiàng)下商品的獨(dú)家代理商，在

第三條規(guī)定的區(qū)域內(nèi)招攬訂單。代理商同意并接受上述委任。

Article 1 Appointment and Acceptance

During the effective period of this agreement, seller hereby appoints agent as its exclusive agent to solicit orders for products stipulated in Article 4 from customers in the territory stipulated in Article 3 and agent accepts and assumes such appointment.

第二條 代理商的義務(wù)

代理商應(yīng)嚴(yán)格遵守賣方隨時(shí)給予的任何指令，而且不得代表賣方作出任何擔(dān)保、承諾以及訂立合同、協(xié)議或做其他對賣方有約束力的行為。對于代理上違反賣方指令或超出指令范圍的一切作為或不作為，賣方不承擔(dān)任何責(zé)任。

Article 2 Agents Duty

agent shall strictly conform with any and all instructions given by seller to agent from time to time and shall not make any representation ,

warranty ,promise,contract, agreement or do any other act binding seller .

seller shall not be held responsible for any acts or failures to act by agent in excess of or contrary to such instructions.

本協(xié)議所指的代理區(qū)域是：XXX（以下簡稱區(qū)域）

Article 3 Territory

第四條 代理商品

Article 4 Products

第五條 獨(dú)家代理權(quán)

基于本協(xié)議授予的獨(dú)家代理權(quán)，賣方不得在代理區(qū)域內(nèi)，直接或間接地，通過其他渠道銷售、出口代理商品。代理商也不得在代理區(qū)域內(nèi)經(jīng)銷、分銷或促銷與代理商品類似或有競爭性的商品，也不能招攬或接受以向區(qū)域外銷售為目的的訂單。在本協(xié)議有效期內(nèi)，對來自區(qū)域內(nèi)其他顧客有關(guān)代理商品的訂單、詢價(jià)，賣方都應(yīng)將其轉(zhuǎn)交給代理商。

Article 5 Exclusive Right

in consideration of the exlusive right herein granted,seller shall not , directly or indirectly , sell or export products to Territory through other channel than agent and agent shall not sell, distribute or promote the sale of any products

competitive with or similar to products in territory and shall not solicit or accept orders for the purpose of selling products outside territory .seller shall refer to agent any inquiry or order for products seller may receive from others in territory during the effective period of this agreement.

第六條 最低交易金額與價(jià)格

在本協(xié)議有效期內(nèi)，如果賣方通過代理商每年（12個(gè)月）從顧客處收到的貨款金額低于 XXXXXXX，則賣方有權(quán)提前30天書面通知代理商解除本協(xié)議。 Article 6 Minimum Transaction and Price

in the event that during one year (12months)during the effective period of this agreement , aggregate payment received by seller from customers on orders obtained by agent under this agreement amounts to less than XXXX, seller shall have the right to terminated this agreement by giving thirty(30)day's written notice to agent.

the seller shall from time to time furnish the agent with a statement of the minimum price and the terms and conditions of sales at which the good are respectively to be sold.

在招攬訂單時(shí)，代理商應(yīng)將賣方銷售合同的一般交易條件給顧客以充分通知，也應(yīng)告之顧客，任何合同的訂立都必須經(jīng)賣方確認(rèn)。代理商應(yīng)將收到的訂單立即轉(zhuǎn)交賣方，由賣方確定接受與否。

賣方有權(quán)利拒絕履行或接受代理商轉(zhuǎn)交的訂單或訂單的一部分，而代理商對于被拒絕的訂單或其中一部分，無權(quán)要求傭金。

Article 7 Orders

in soliciting orders , agent shall adequately advise customers of the general terms and conditions of seller's sales note or contract note and of any contract being subject to the confirmation of acceptance by seller.agent shall

immediately dispatch any order received to seller for its acceptanec or rejection. the seller shall have the right to refuse to execute or accept any such orders or any part thereof and the agent shall not be entitled to any commission in respect of any such rejected order or part thereof refused.

第八條 費(fèi)用分擔(dān)

除另有約定，所有費(fèi)用和支出，如電訊費(fèi)、差旅費(fèi)以及其他相關(guān)銷售費(fèi)用，都應(yīng)由代理商承擔(dān)。此外，代理商還應(yīng)承擔(dān)維持其辦公處所、銷售人員以及用于執(zhí)行賣方有關(guān)代理商義務(wù)的所有指令而發(fā)生的費(fèi)用。

Article 8 Expenses

all expenses and disbursements such as cabling,travelling and other expenses incurred in connection with the sale of products shall be for the account of agents, unless especially arranged.further agent shall ,at his own expenses,

maintain offic(s),salesman and other sufficient for the performance of the obligation of agent in conformity with any and all instructions given by seller.

賣方接受代理商直接獲得的所有訂單后，應(yīng)按發(fā)票凈售價(jià)XX%，以XX（貨幣）支付給代理商傭金。傭金在賣方收到全部貨款后每六個(gè)月以匯款方式支付。Article 9 Commission

seller shall pay to agent commission in XX currency at the rate of XX% of the net invoiced slling price of products on all orders directly obtained by agent accepted by seller, such commission shall by payable every six moinths only after seller receives the full amount of all paymnets due to seller, payments of such commission shall be made to agent by way of remittance.

第十條 商情報(bào)告

賣方和代理商都應(yīng)按季度或按對方要求提供市場報(bào)告，以盡可能促進(jìn)商品銷售。代理商應(yīng)向賣方報(bào)告商品庫存情況、市場狀況以及其他商業(yè)活動(dòng)。

Article 10 Information and Report

both seller and agent shall quarterly and/or on the request of eigher party furnish information and market report each other to promote the sale of products as much as possible.agent shall furnish to seller report of

inventory ,market situation and other commercial actiities.

第十一條 促銷

在代理區(qū)域內(nèi)，代理商應(yīng)積極、充分地進(jìn)行廣告宣傳以促進(jìn)商品銷售。賣方應(yīng)向代理商提供一定數(shù)量的廣告印刷品、樣本、小冊子以及代理商合理要求的其他材料。

Article 11 Sales Promotion

agent shall diligently and adequately advertise and promote the sale of

products throughout territory .seller shall furnish to agent reasonable quantity of advertising literatures catalogues ,leafleats, and the like as agent may reasonable require.

第十二條 工業(yè)產(chǎn)權(quán)

在本協(xié)議有效期內(nèi)，代理商可以使用賣方的商標(biāo)，但僅限于代理商品的銷售。本協(xié)議終止后，代理商銷售庫存的代理商品時(shí)，仍可使用賣方商標(biāo)。代理商承認(rèn)使用于或包含代理商品中的任何專利、商標(biāo)、版權(quán)以及其他工業(yè)產(chǎn)權(quán)，都屬于賣方所有，并不得以任何方式提出異議。一旦發(fā)現(xiàn)侵權(quán)，代理商應(yīng)及時(shí)通知賣方，并協(xié)助賣方采取措施保護(hù)賣方的工業(yè)產(chǎn)權(quán)。

Article 12 Industrial Property Rights

agent may use the trade mark of seller during the effective period of this agreement only in aonnection with the sale of products, provided that even after the termination of this agreement agent may use the trade marketin connection with the sale of products held by it in stock at the time of

termination .agent shall also acknowledge that any and all paterns , trade markets,copyright and other industrial property rights used or embodied in products shall remain to be sole properties of seller and shall not dispute them in any way. if an y infringement being found, agent shall promptly notify sller and assist seller to take steps to protect its right.

第十三條 協(xié)議有效期

本協(xié)議經(jīng)雙方簽字生效。在本協(xié)議終止前至少3個(gè)月，賣方或代理商應(yīng)共同協(xié)商協(xié)議的延續(xù)。如雙方一致同意延續(xù)，本協(xié)議應(yīng)在上述各項(xiàng)條款（以及相關(guān)修改，若有的話）的基礎(chǔ)上，繼續(xù)有效 XX年。否則，本協(xié)議將于X年X月X日終止。Article 13 Duration

this agreement shall enter into force on the signing of both parties. at least three months before the expiration of the agreement, both seller and agent shall consult each other for renewal of this agreement .if the renewal of this agreement is agreed upon by both parties , this agreement shall be renewed for another XX year(s) period under the terms and conditions herein set forth, with a mendments , if agreed upon by both parties.unless this agreement shall expire on XX.

第十四條 協(xié)議的中止

在本協(xié)議有效期內(nèi)，任何一方當(dāng)事人不履行協(xié)議或違反協(xié)議條款，雙方當(dāng)事人應(yīng)力爭及時(shí)、友好地解決爭議以期雙方滿意。如果在違反方接到書面通知后30日內(nèi)問題仍無法解決，非違約方有權(quán)終止本協(xié)議，由此造成的損失概由違約方承擔(dān)。此外，若協(xié)議一方發(fā)生破產(chǎn)、清算、死亡幾/或被第三放重組，雙方均有權(quán)中止本協(xié)議。

Article 14 Termination

in case there is any non-performance and/or wiolation of the terms and

conditions under this agreement by eigher party during the effective period of this agreement , the parties hereto shall do their best to settle the matter in question as prompt and amicable as posissble to mutual satisfaction. unless settlement should be reached within thirty days after notification in writing of the other party,such other party shall have the right to cancel this agreement and the loss and damages sustained thereby shall be indemnified by the party responsible for the non-performance and/or violation. further in case of

bankruptcy or insolvency or liquidation or death and/or reorganization by the third party of the other party, eigher party have the right to terminate this agreement.

第十五條 不可抗力

任何一方對因下列原因?qū)е虏荒芑驎簳r(shí)不能履行全部或部分協(xié)議義務(wù)不負(fù)責(zé)任。這些原因包括：自然災(zāi)害、政府采購或禁令以及其他任何雙方在簽約時(shí)不能預(yù)料、無法控制且不能避免和克服的事件。受不可抗力影響的一方應(yīng)盡快地將發(fā)生的時(shí)間書面通知對方。

Article 15 Force Majeure

either party shall not be responsible for failure or delay to perform all or any part of the obligations under this agreement ,which include: acts of god, government orders or restriction or any other events which cuold not be predicted at the time of the conclusion of the agreement and could not be controlled, avoided or overcome by the parties .however , the party effected by the event of force majeure shall inform the other party of its occurrence in written as soon as possible.

第十六條 貿(mào)易條件與合同準(zhǔn)據(jù)法

本協(xié)議使用的貿(mào)易條件應(yīng)按INCOTERMS 2000解釋。本協(xié)議的有效性、締結(jié)及履行受中華人民共和國法律管轄。

Article 16 Trade Terms and Governing Law

the trade terms under this agreement shall be governed and interpreted under the provisions of INCOTERMS 2000 and this agreement shall be governed as to all matters including validity , construction, and performance under the laws of People's Republic of China.

第十七條 仲裁

對于因履行本協(xié)議發(fā)生的一切爭議，雙方應(yīng)友好協(xié)商解決。若無法協(xié)商解決，則應(yīng)提交中國國際經(jīng)濟(jì)貿(mào)易仲裁委員會（北京）根據(jù)其仲裁規(guī)則進(jìn)行仲裁。仲裁裁決是最終的，對雙方均有約束力。仲裁費(fèi)用應(yīng)由敗訴方承擔(dān)。

Article 17 Arbitration

all disputes arising from the performance of the agreement should be settled through friendly negotiations.should no settlement be reached trhough negotiation, the case shall be submiteted for arbitration to the China

International Economic and Trade arbitration Commission (Beijing) and the rules of this commission shall be applied. the award of the arbitration shal be final and binding upon both parties. the arbitration fee shall be born by the losing party.

本協(xié)議由雙方代表簽字后生效，正本一式兩份，雙方個(gè)執(zhí)一份。

The quantities, prices and shipments of the commodities stated in this Agreement shall be confirmed in each transaction, the

particulars of which are to be specified in the Sales Confirmation signed by the two parties hereto.

5. 付款

Payment

訂單確認(rèn)之后，乙方須按照有關(guān)確認(rèn)書所規(guī)定的時(shí)間開立以甲方為受益人的保兌的、不可撤銷的即期信用證。乙方開出信用證后，應(yīng)立即通知甲方，以便甲方準(zhǔn)備交貨。

After confirmation of the order, Party B shall arrange to open a confirmed, irrevocable L/C available by draft at sight in favour of Party A within the time stipulated in the relevant S/C. Par

ty B shall also notify Party A immediately after L/C is opened so that Party A can get prepared for delivery.

6. 傭金

被過濾廣告 Commission

在本協(xié)議期滿時(shí)，若乙方完成了第二款所規(guī)定的數(shù)額，甲方應(yīng)按裝運(yùn)貨物所收到的發(fā)票累計(jì)總金額付給乙方*%的傭金。

Upon the expiration of the Agreement and Party B's fullfilment of the total turnover mentioned in Article 2, Party A shall pay to Party B... % commission on the basis of the aggregate amount of the invoice value against the shipments effected.

7. 市場情況報(bào)告

Reports on Market Conditions

乙方每3個(gè)月向甲方提供一次有關(guān)當(dāng)時(shí)市場情況和用戶意見的詳細(xì)報(bào)告。同時(shí)，乙方應(yīng)隨時(shí)向甲方提供其他供應(yīng)商的類似商品樣品及其價(jià)格、銷售情況和廣告資料。

Party B shall forward once every three months to party A detailed reports on current market conditions and of consumers' comments. Meanwhile, Party B shall,from time to time, send to party A samples of similar commodities offered by other suppliers, together with their prices, sales information and advertising materials.

8. 宣傳廣告費(fèi)用

Advertising & Publicity Expenses

在本協(xié)議有效期內(nèi)，乙方在上述經(jīng)銷地區(qū)所作廣告宣傳的一切費(fèi)用，由乙方自理。乙方須事先向甲方提供宣傳廣告的圖案及文字說明，由甲方審閱同意。

Party B shall bear all expenses for advertising and publicity within the aforementioned territory in the duration of this Agreement and submit to Party A all patterns and/or drawings and description for prior approval.

9. 協(xié)議有效期

Validity of Agreement

本協(xié)議經(jīng)雙方簽字后生效，有效期為**天，自**至**。若一方希望延長本協(xié)議，則須在本協(xié)議期滿前1個(gè)月書面通知另一方，經(jīng)雙方協(xié)商決定。

被過濾廣告 若協(xié)議一方未履行協(xié)議條款，另一方有權(quán)終止協(xié)議。

This Agreement, after its being signed by the parties concerned, shall remain in force for... days from ... to ... If either Party wishes to extend this Agreement, he shall notice, in writing, the other party one month prior to its expiration. The matter shall be decided by the agreement and by consent of the parties hereto. Should either party fail to implement the terms and conditions herein, the other party is entitled to terminate this Agreement.

10. 仲裁

Arbitration

在履行協(xié)議過程中，如產(chǎn)生爭議，雙方應(yīng)友好協(xié)商解決。若通過友好協(xié)商達(dá)不成協(xié)議，則提交中國國際貿(mào)易促進(jìn)委員會對外貿(mào)易仲裁委員會，根據(jù)該會仲裁程序暫行規(guī)定進(jìn)行仲裁。該委員會的決定是終局的，對雙方均具有約束力。仲裁費(fèi)用，除另有規(guī)定外，由敗訴一方負(fù)擔(dān)。

All disputes arising from the execution of this Agreement shall be settled through friendly consultations. In case no settlement can be reached, the case in dispute shall then be submitted to the Foreign Trade Arbitration Commission of the China Council for the Promotion of International Trade for arbitration in accordance with its

provisional rules of procedure. The decision made by this Commission shall be regarded as final and binding upon both parties. Arbitration fees shall be borne by the losing party ,unless otherwise awarded.

11. 其他條款

Other Terms & Conditions

(1) 甲方不得向經(jīng)銷地區(qū)其他買主供應(yīng)本協(xié)議所規(guī)定的商品。如有詢價(jià)，當(dāng)轉(zhuǎn)達(dá)給乙方洽辦。若有買主希望從甲方直接訂購，甲方可以供貨，但甲方須將有關(guān)銷售確認(rèn)書副本寄給乙方，并按所達(dá)成交易的發(fā)票金額給予乙方*%的傭金。

Party A shall not supply the contracted commodity to any other buyer(s) in the above mentioned territory. Direct enquiries, if any, will be referred to Party B. However, should any other buyers wish to deal with Party A directly, Party A may do so. But party A shall send to Party B a copy of Sales Confirmation and give Party B...% commission on the basis of the net invoice value of the transaction(s)concluded. 被過濾廣告

(2) 若乙方在*月內(nèi)未能向甲方提供至少**訂貨，甲方不承擔(dān)本協(xié)議的義務(wù)。

Should Party B fail to pass on his orders to Party A in a period of ... months for a minimum of ..., Party A shall not bind himself to this Agreement.

(3) 對雙方政府間的貿(mào)易，甲方有權(quán)按其政府的授權(quán)進(jìn)行有關(guān)的直接貿(mào)易，而不受本協(xié)議約束。乙方不得干涉此種直接貿(mào)易，也無權(quán)向甲方提出任何補(bǔ)償或傭金要求。

For any business transacted between governments of both Parties, Party A may handle such direct dealings as authorized by Party A's government without binding himself to this Agreement. Party B shall not interfere in such direct dealings nor shall Party B bring forward any demand for compensation therefrom.

(4) 本協(xié)議受簽約雙方所簽訂的銷售確認(rèn)條款的制約。

This Agreement shall be subject to the terms and conditions in the Sales Confirmation signed by both parties hereto.

6、價(jià)格與支付price andpayment

每一筆交易的貨物價(jià)格應(yīng)由乙方與買主通過談判確定，并須經(jīng)甲方最后確認(rèn)。付款使用保兌的、不可撤銷的信用證，由買方開出，以甲方為受益人。信用證須在裝運(yùn)日期前15天到達(dá)甲方。

基于本協(xié)議授予的獨(dú)家代理權(quán)，甲方不得直接或間接地通過乙方以外的渠道向新加坡顧客銷售或出口第三條所列商品，乙方不得在新加坡經(jīng)銷、分銷或促銷與上述商品相競爭或類似的產(chǎn)品，也不得招攬或接受以到新加坡以外地區(qū)銷售為目的的訂單，在本協(xié)議有效期內(nèi)，甲方應(yīng)將其收到的來自新加坡其他商家的有關(guān)代理產(chǎn)品的詢價(jià)或訂單轉(zhuǎn)交給乙方。

8.、商情報(bào)告market report

為使甲方充分了解現(xiàn)行市場情況，乙方承擔(dān)至少每季度一次或在必要時(shí)隨時(shí)向甲方提供市場報(bào)告，內(nèi)容包括與本協(xié)議代理商品的進(jìn)口與銷售有關(guān)的地方規(guī)章的變動(dòng)、當(dāng)?shù)厥袌霭l(fā)展趨勢以及買方對甲方按協(xié)議供應(yīng)的貨物的品質(zhì)、包裝、價(jià)格等方面的意見。乙方還承擔(dān)向甲方提供其他供應(yīng)商類似商品的報(bào)價(jià)和廣告資料。

in order to keep party a well informed of theprevailing market conditions，party b should undertake tosupply party a，at leastonce a quarter or at any time when necessary，with market reports concerning changes ofthe local regulations in connection with the import and sales ofthe commodity covered by this agreement，local market tendency and the buyer's comments onquality，packing，price，etc. of the goods supplied by party aunder this agreement. party b shall also supply party a withquotations and advertising materials on similar products of othersuppliers.

9、廣告及費(fèi)用advertising andexpenses

乙方負(fù)擔(dān)本協(xié)議有效期內(nèi)在新加坡銷售代理商品做廣告宣傳的一切費(fèi)用，并向甲方提交所用于廣告的聲像資料，供甲方事先核準(zhǔn)。

party a shall bear all expenses for advertisingand publicity in connection with the commodity in question insingapore within the validity of this agreement，and shall submit to party a allaudio and video materials intended for advertising for priorapproval.

10、傭金commission

對乙方直接獲取并經(jīng)甲方確認(rèn)接受的訂單，甲方按凈發(fā)票售價(jià)向乙方支付5%的傭金。傭金在甲方收到每筆訂單的全部貨款后才會支付。

party a shall pay party b a commission of 5% onthe net invoiced selling price on all orders directly obtained byparty b and accepted by party a. no commission shall be paid untilparty a receives the full payment for each order.

11.政府部門間的交易transactions between governmentalbodies

在甲、乙雙方政府部門之間達(dá)成的交易不受本協(xié)議條款的限制，此類交易的金額也不應(yīng)計(jì)入第五條規(guī)定的最低業(yè)務(wù)量。

transactions concluded between govenmental bodiesof party a and party b shall not be restricted by the terms andconditions of this agreement，nor shall the amount of suchtransactions be counted as part of the turnover stipulated inarticle 5.

12.工業(yè)產(chǎn)權(quán)industrial propertyrights

在本協(xié)議有效期內(nèi)，為銷售有關(guān)洗衣機(jī)，乙方可以使用甲方擁有的商標(biāo)，并承認(rèn)使用于或包含于洗衣機(jī)中的任何專利商標(biāo)、版權(quán)或其他工業(yè)產(chǎn)權(quán)為甲方獨(dú)家擁有。一旦發(fā)現(xiàn)侵權(quán)，乙方應(yīng)立即通知甲方并協(xié)助甲方采取措施保護(hù)甲方權(quán)益。

party b may use the trade-marks owned by party afor the sale of the washing machines covered herein within thevalidity of this agreement，and shall acknowledge that allpatents，trademarks，copyrights or any other industrial property rights used or embodied inthe washing machines shall remain to be the sole properties ofparty a. should any infringement be found，party b shall promptly notify and assistparty a to take steps to protect the latter'srights.

13.協(xié)議有效期validity ofagreement

本協(xié)議經(jīng)有關(guān)雙方如期簽署后生效，有效期為1年，從1992年10月1日至1993年9月30日。除非作出相反通知，本協(xié)議期滿后將延長12個(gè)月。

this agreement，when duly signed by the bothparties concerned，shallremain if force for 12 months from october 1，1992 to september 30，1993，and it shall be extended for another 12 months uponexpiration unless notice in writing is given to thecontrary.

14.協(xié)議的終止termination

在本協(xié)議有效期內(nèi)，如果一方被發(fā)現(xiàn)違背協(xié)議條款，另一方有權(quán)終止協(xié)議。

during the validity of thisagreement，if either of the two parties isfound to have violated the stipulations herein，the other party has the right to terminatethis agreement.

15.不可抗力force majeure

由于水災(zāi)、火災(zāi)、地震、干旱、戰(zhàn)爭或協(xié)議一方無法預(yù)見、控制、避免和克服的其他事件導(dǎo)致不能或暫時(shí)不能全部或部分履行本協(xié)議，該方不負(fù)責(zé)任。但是，受不可抗力事件影響的一方須盡快將發(fā)生的事件通知另一方，并在不可抗力事件發(fā)生15天內(nèi)將有關(guān)機(jī)構(gòu)出具的不可抗力事件的證明寄交對方。

either party shall not be held responsible forf-ailure or delay to perform all or any part of this agreement dueto flood，fire，earthquake，draught，war orany other events which could not be predicted，controlled，avoided or overcome by the relative party.however，the partyaffected by the event of force majeure shall inform the other partyof its occurrence in writing as soon as possible and thereaftersend a certificate of the event issued by the relevant authoritiesto the other party within 15 days after itsoccurrence.

16.仲裁arbitration

因履行本協(xié)議所發(fā)生的一切爭議應(yīng)通過友好協(xié)商解決。如協(xié)商不能解決爭議，則應(yīng)將爭議提交中國國際經(jīng)濟(jì)貿(mào)易仲裁委員會（北京），依據(jù)其仲裁規(guī)則進(jìn)行仲裁。仲裁裁決是終局的，對雙方都有約束力。

all disputes arising from the performance of thisagreement shall be settled through friendly negotiation. should nosettlement be reached throught negotiation，the case shallthen be submittedfor arbitration to the china international economic and tradearbitration commission（beijing）and therules of this commission shall be applied. the award of thearbitration shall be final and binding upon bothparties.
