此合作協(xié)議(下文簡稱協(xié)議) 由“success compu china”(中方公司)和“tosan systemco”(伊朗方公司) 訂立。

1 it was decided that chinese party do as second party’s vision fordesigning and preparing producing line in china.
協(xié)議決定中方為第二方,在中國設(shè)計和準(zhǔn)備生產(chǎn)線。
2 it was decided to supply raw material in china in best conditionsand do necessary production same as both two party agreement inchina and then send them to iran for complete production。
協(xié)議決定中方根據(jù)雙方協(xié)議規(guī)定在中國提供原材料及做些必要的加工,并將半成品發(fā)到伊朗完成生產(chǎn).

協(xié)議決定中方轉(zhuǎn)移技術(shù)及生產(chǎn)管理經(jīng)驗給伊方,其中包括派送專家及傳授技術(shù)知識。
iranian party伊方義務(wù)
1 iranian party committed to prepare suitablefactory for setting up machines and producing line, and preparingthe raw material store in considering of chinese party opinion.
伊方致力于準(zhǔn)備合適的工廠便于按裝機器和生產(chǎn)線，并參照中方的意見準(zhǔn)備材料倉。
2 it was decided iranian party apply for all of the necessary rightsfor ma-ki-ng production in iran.
協(xié)議決定伊方在伊朗可以申請所有關(guān)于生產(chǎn)方面的必要權(quán)利。
3 iranian party is committed to employ good workers with consideringthe chinese party’s idea.
伊方致力于參照中方的意見聘用好的工人。
4 iranian party is committed to make the best situation for sellingthe products.
伊方致力于創(chuàng)造最好的銷售情況。
investment投資
it is committed that both of the chinese and iranian party shareall of the required investment amount of this project including rawmaterial investment, preparing factory, producing line, cost ofproducing and selling cost in half and half.
中方和伊方雙方致力于各承擔(dān)50%的投資成本,其中包含原材料的投資成本,準(zhǔn)備工廠的成本,生產(chǎn)線的成本,生產(chǎn)成本及銷售成本。

中方責(zé)任是提供生產(chǎn)所需的質(zhì)量合格的原材料,合格的生產(chǎn)線,指導(dǎo)工人規(guī)范作業(yè)并安排發(fā)送散貨到伊朗。
the responsibility of supervision on factory, sale the goods andthe arrival of the claims is on iranian party.
伊方責(zé)任是管理工廠，銷售的商品和處理客人投訴索賠事宜。
cost成本
all of the project cost including shipping cost to iran, customduty cost in iran, factory cost in iran and workers cost inproducing line, marketing cost and selling cost shall be consideredin calculating final cost.
所有成本包括到伊朗的運費,伊朗產(chǎn)生的關(guān)稅,伊朗工廠的開支,生產(chǎn)線員工的工資,市場成本及銷售成本,以上這些都要考慮計算在最終的成本里。
profit sharing 利潤分配
it is committed to after producing and selling the goods all ofthe direct and indirect cost will be reduce from the sold price ofthe goods and the balance will be shared between iranian party andchinese party in special percentage that will be committedlater.
在生產(chǎn)和銷售中產(chǎn)生的所有直接及間接開支從商品出售價格中扣除后,省下的利潤伊方和中方將安排特別的比例來分享,具體比例將在以后提出。

為了能充分發(fā)揮雙方企業(yè)資源優(yōu)勢，本著互利雙贏、共同發(fā)展的原則，甲、乙雙方就 oem產(chǎn)品貼牌生產(chǎn)項目達(dá)成如下協(xié)議：
一． oem產(chǎn)品名稱、規(guī)格型號：

二． 合作期限及方式：
1、合作期暫定為十年。自2015年 月 日起始至 年 月 日。
2、合作方式：委托貼牌生產(chǎn)，經(jīng)營關(guān)系獨立核算。
三． 產(chǎn)品制作：甲方提供產(chǎn)品技術(shù)參數(shù)、質(zhì)量檢驗規(guī)范標(biāo)準(zhǔn)及圖紙資料。乙方負(fù)責(zé)組織生產(chǎn)。并確保產(chǎn)品質(zhì)量符合甲方技術(shù)文件規(guī)定要求。產(chǎn)品質(zhì)量以甲方驗收確認(rèn)為準(zhǔn)；交貨期按甲方訂單要求完成任務(wù)。
四． 產(chǎn)品包裝：除品牌商標(biāo)及與產(chǎn)品相關(guān)的說明書、標(biāo)貼、銘牌、合格證、保修卡等資料由甲方提供外，其余內(nèi)外包裝物及材料均由乙方負(fù)責(zé)，并依照甲方產(chǎn)品訂單要求之規(guī)定，完成產(chǎn)品包裝作業(yè)任務(wù)。
五． 產(chǎn)品技術(shù)質(zhì)量及驗收、交貨地點：
1. 甲方按產(chǎn)品規(guī)格型號提供圖紙資料供乙方參照生產(chǎn)，樣機完成經(jīng)甲方檢驗確認(rèn)合格后，作為實物標(biāo)本封存以備今后雙方在檢驗驗收出現(xiàn)異議時參照鑒別。
2.乙方生產(chǎn)產(chǎn)品所使用的材料，必須符合國家相關(guān)行業(yè)質(zhì)量標(biāo)準(zhǔn)和環(huán)保質(zhì)量標(biāo)準(zhǔn)要求。 甲方有權(quán)派員對貼牌產(chǎn)品生產(chǎn)過程的原料、配件等質(zhì)量控制進(jìn)行監(jiān)督、檢測，乙方應(yīng)予以積極配合和協(xié)助。
3．產(chǎn)品質(zhì)量驗收標(biāo)準(zhǔn)及方法：按甲方產(chǎn)品質(zhì)量驗收規(guī)范標(biāo)準(zhǔn)（詳見合同附件1）執(zhí)行。
