NON-CIRCUMVENTION, NON DISCLOSURE & WORKING AGREEMENT

國際商會(huì)保密合約（禁止規(guī)避、禁止轉(zhuǎn)讓與合作條約）

WHEREAS the undersigned wish to enter into this Agreement to define certain parameters of the future legal obligations, are bound by a duty of Confidentiality with respect to their sources and contacts. This duty is in accordance with the International Chamber of Commerce.

鑒于簽約人希望簽署該份合約以規(guī)范雙方以后應(yīng)遵行的法律義務(wù)，并就對(duì)方之業(yè)務(wù)及連絡(luò)人善盡保密之職責(zé)。

WHEREAS the undersigned desire to enter a working business relationship to the mutual and common benefit of the parties hereto, including their affiliates, subsidiaries, stockholders, partners, co-ventures, trading partners, and other associated organizations (hereinafter referred to as “Affiliates”).

鑒于簽約人為達(dá)成彼此之共同之利益建立商業(yè)關(guān)系，其受惠之方包含其關(guān)系企業(yè)、子公司、股東、事業(yè)伙伴、國際合作經(jīng)營企業(yè)、貿(mào)易伙伴及其它相關(guān)企業(yè)等。（以下稱為「關(guān)系企業(yè)」） NOW THEREFORE in consideration of the mutual promises, assertions and covenants herein and other good and valuable considerations, the receipts of which is acknowledged hereby, the parties hereby agree as follows:

基于本約之合意、聲明、約定及其它約因，雙方當(dāng)事人茲就下列各事項(xiàng)達(dá)成協(xié)議：

1. TERMS AND CONDITIONS

1. 合約條款

A. The parties will not in any manner solicit, nor accept any business in any manner from sources or their affiliates, which sources were made available through this agreement, without the express permission of the party who made available the source and,

A.在未經(jīng)雙方明示許可下，立約雙方及其關(guān)系企業(yè)皆不得以任何方式要求或接受任何其它第三方所提供之信息，

B. The parties will maintain complete confidentiality regarding each other business sources and/or their Affiliates and will disclose such business sources only to the named parties pursuant to the express written permission of this party who made available the source, and,

B.立約各方對(duì)另一方之業(yè)務(wù)和/或其關(guān)系企業(yè)之信息，應(yīng)遵守絕對(duì)保密之原則，僅在對(duì)方正式書面許可下方可透露合作方之相關(guān)信息。

C. That they will not in any of the transactions the parties are desirous of entering into and do, to the best of their abilities assure the other that the transaction codes established will not be affected.

C.在任何情況下，雙方保證盡力保護(hù)其交易數(shù)據(jù)之完整性，并盡可能不更動(dòng)其原始交易代碼。

D. That they will not disclose company names, addresses, e-mail address, website, telephone and tele-fax or telex numbers to any contacts by either party to third parties and that they each recognize such contracts as the exclusive property of the respective parties and they will not enter into any direct negotiations or transactions with such contracts revealed by the other party and

D各方不得向任何第三方透露他方連絡(luò)人之公司名稱、地址、電子信箱、網(wǎng)址、電話、電報(bào)傳真或電傳號(hào)碼，且立約各方需將此連絡(luò)人視為其專屬財(cái)產(chǎn)，亦不得直接與對(duì)方提供之連絡(luò)人進(jìn)行議價(jià)或交易。

E. That they further undertake not to enter into business transaction with banks, investors, sources of funds or other bodies, the names of which have been provided by one of the Parties to this agreement, unless written permission has been obtained from the other party (ies) to do so. For the sale of this agreement, it does not matter whether information obtained from a natural or a legal person.

E.在未經(jīng)對(duì)方書面許可之下，不得與其它銀行、投資者、基金會(huì)、或其它在合約中所提及之合作廠商進(jìn)行商業(yè)活動(dòng)。基于此份合約，其限制范圍不局限于自然人或法人，

F. The parties also undertake not to make use of a third party to circumvent this clause.

F.且立約各方承諾不得利用第三方來規(guī)避此條款。

G. That in the event of circumvention of this Agreement by either party, directly or indirectly, the circumvented party shall be entitled to a legal monetary penalty equal to the maximum service it should realize from such a transaction plus any and all expenses, including but not limited to all legal costs and expenses incurred to recover the lost revenue.

G.任一方以直接或間接方式違反此份合約者，應(yīng)付懲罰性違約金，其金額為交易中所得到之最高金額之賠償，加上所有費(fèi)用，其中包括但不限于因而致生之法律費(fèi)用與支出。

H. All considerations, benefits, bonuses, participation fees and/or commissions received as a result of the contributions of the parties in the Agreement, relating to any and all transactions will be allocated as mutually agreed.

H. 所有雙方因協(xié)議中交易所獲得的報(bào)酬、收益、分紅、參與費(fèi)用或傭金都將依照彼此最初

同意之比例分紅。

I. This Agreement is valid for any and all transaction between the parties herein and shall be governed by the enforceable law in All Commonwealth Country’s, European Union Country’s, Asian Countries, USA Courts, or under Swiss Law in Zurich, in the event of dispute, the arbitration laws of states will apply.

I.本合約將規(guī)范立約雙方之所有交易活動(dòng)，并以英聯(lián)邦國家,歐盟國家,亞洲國家,美國法院

或瑞士蘇黎世之法律為準(zhǔn)據(jù)法，若有爭議，將依照該國仲裁法律解決。

J.The signing parties hereby accept such se-le-cted jurisdiction as the exclusive venue. The duration of the Agreement shall perpetuate for five (5) years from last date of signing and shall automatically extend to a new term of 5 years from the start of any roll, extension, renewal or additional transaction between the principals or, for a period of 5 years from the date of executing of this Agreement should no contract result.

J.立約之雙方皆同意以上述法院為專屬管轄法院，合約有效期間自簽定日期起五年。

2. AGREEMENT TO TERMS

2.（協(xié)議條款）

A. Signatures on this Agreement received by the way of Facsimile, Mail and/or E-mail shall be an executed contract. Agreement enforceable and admissible for all purposes as may be necessary under the terms of the Agreement.

A.任何經(jīng)由傳真、郵寄及電子信件送達(dá)之合約經(jīng)簽署后皆可視為一可履行之契約。

此合約在法律上具有強(qiáng)制性及可接受性，且所有行為皆需受到合約上條款之規(guī)范。

B. All signatories hereto acknowledge that they have read the foregoing Agreement and by their initials and signature that they have full and complete authority to execute the document for and in the name of the party for which they have given their signature.

B.本文件之簽署人已詳細(xì)閱讀上述之合約，并獲得充分授權(quán)后，代表雙方當(dāng)事人締

國際商會(huì)保密協(xié)議 [篇2]

本協(xié)議于2015年8月2日生效，是基于相關(guān)商會(huì)與不欺詐不披露國際商業(yè)合同協(xié)定的專業(yè)合作協(xié)議。參與協(xié)議的雙方（以下稱作“雙方”）如下列示：

甲方：深圳旭輝資金管理有限公司。（中國，北京，朝陽區(qū)百子灣金海商富中心B座312，亦簡稱SXCM）

乙方：prestige全球金融集團(tuán)有限公司。（澳大利亞，新南威爾士州，邦迪海灘桑德里奇街11/24，亦簡稱PWFG）

鑒于PWFG擁有一些對(duì)各方都商業(yè)價(jià)值的客戶資源，包括聯(lián)系人、聯(lián)系方式等，有利于促成各方促成有關(guān)金融或商業(yè)交易。因此，雙方有意在相關(guān)金融領(lǐng)域展開合作，并且基于保守商業(yè)秘密的需要，訂立本協(xié)議，供各方遵守。

誠信條款。甲、乙雙方同意遵守誠實(shí)信用原則，不欺詐、不誤導(dǎo)對(duì)方，并且，甲、乙雙方應(yīng)當(dāng)互相提供真實(shí)、有效的聯(lián)系方式，保持直接、通暢的聯(lián)系。雙方應(yīng)當(dāng)留存真實(shí)、可靠地聯(lián)系方式與通信地址，并保持溝通。

不披露原則。雙方同意不披露，不揭露討論及報(bào)告中的相關(guān)信息或?qū)⑵溆米魅魏斡猛�，包括操作方法，相關(guān)概念，觀點(diǎn)觀念，產(chǎn)品或服務(wù)，新提及的產(chǎn)品或服務(wù)。也不與任何已披露的聯(lián)系人或其他任何個(gè)人以及未經(jīng)PWFG書面同意授權(quán)的單位與個(gè)人進(jìn)行相關(guān)商務(wù)往來。不披露不欺詐原則同樣適用于當(dāng)事人和任何關(guān)聯(lián)方，同盟，客戶，以及與當(dāng)事人有任何方式溝通的任何個(gè)人。

合同期限。對(duì)于PWFG向SXCM推薦的投資人，自SXCM與該投資人首次接觸起5年內(nèi)，SXCM與該投資人的任何投資合作，都應(yīng)當(dāng)經(jīng)過PWFG，委托PWFG作為中介人提供服務(wù)，并根據(jù)合同約定支付費(fèi)用。

費(fèi)用協(xié)議。雙方同意PWFG公司將會(huì)得到等同所募集資金的百分之四的費(fèi)用。融資款項(xiàng)一旦支付至SXCM指定的賬戶，SXCM即應(yīng)按照本條約定將上述費(fèi)用支付到PWFG公司相關(guān)賬戶。

協(xié)議更改修訂原則。除非有協(xié)議所列當(dāng)事人書面文件簽署同意，本協(xié)議不可終止，更改或修訂。

適用法律。雙方確認(rèn)，本協(xié)議的準(zhǔn)據(jù)法為澳大利亞新南威爾士相關(guān)法律和司法解釋。雙方約定，本協(xié)議的任何爭議，應(yīng)當(dāng)提交中國香港國際仲裁中心，并按照中國香港國際仲裁中心所在地的仲裁規(guī)則進(jìn)行仲裁。仲裁機(jī)構(gòu)按照現(xiàn)行規(guī)則的結(jié)果對(duì)當(dāng)事人具有法律約束力。

完整協(xié)議條款。本條款包含雙方的完整意思理解，對(duì)本協(xié)議的任何棄權(quán)，修正或修改都適用于上述條件并且必須附后說明。本協(xié)議簽字生效，雙方同意任何個(gè)人，律師事務(wù)所，公司，聯(lián)營公司，合營企業(yè)，合伙企業(yè)，部門，子公司，雇員，代理人，繼承人，受讓人，指定人，或咨詢顧問（其簽署人是一家代理人，辦公員，繼承人，繼任人，分配或指派的人）都在五年內(nèi)受本協(xié)議條款的約束。

本份不欺詐不披露商業(yè)合同協(xié)議的傳真和電子郵件視同原件，并作為與簽字復(fù)印件原件具有相同的效果以及法律約束力。簽字的雙方已經(jīng)閱讀并理解本協(xié)議，知情并自愿同意遵守其條款的約束，并已保證本協(xié)議于前述約定之日生效。本人簽字保證對(duì)本條款完全理解及有完全行為能力達(dá)成此項(xiàng)協(xié)議。
