13.裝運(yùn)條款:

賣方應(yīng)在合同規(guī)定的裝運(yùn)日期前30天,以電報/電傳/傳真通知買方合同號、品名、數(shù)量、金額、包裝件、毛重、尺碼及裝運(yùn)港可裝日期,以便買方安排租船/訂艙。裝運(yùn)船只按期到達(dá)裝運(yùn)港后,如賣方不能按時裝船,發(fā)生的空船費(fèi)或滯期費(fèi)由賣方負(fù)擔(dān)。在貨物超過船舷并脫離吊鉤以前一切費(fèi)用和風(fēng)險由賣方負(fù)擔(dān)。
The sellers shall , 30 days before the shipment date specified in the contract advise the buyers by CABLE / TELEX /FAX of the contract No. , commodity , quantity , amount , packages , gross weight , measurement , and the date of shipment in order that the buyers can charter a vessel / book shipping space . In the event of the sellers’ failure to effect loading when the vessel arrives duly at the loading port , all expenses including dead freight and / or demurrage charges thus incurred shall be for seller’s account.

15.質(zhì)量保證:
Quality guarantee :
貨物品質(zhì)規(guī)格必須符合本合同及質(zhì)量保證書之規(guī)定,品質(zhì)保證期為貨到目的港_____個月內(nèi),在保證期限內(nèi),因制造廠商在設(shè)計制造過程中的缺陷造成的貨物損害應(yīng)由賣方負(fù)責(zé)賠償。

16.商品檢驗:賣方須在裝運(yùn)前_____日委托 檢驗機(jī)構(gòu)對合同之貨物進(jìn)行檢驗并出具檢驗證書,貨到目的`港后,由買方委托____檢驗機(jī)構(gòu)進(jìn)行復(fù)檢。

17.索賠
Claims:
如經(jīng)中國_____檢驗機(jī)構(gòu)復(fù)檢,發(fā)現(xiàn)貨物有損壞、殘缺或品名、規(guī)格、數(shù)量及質(zhì)量與本合同及質(zhì)量保證書之規(guī)定不符,買方可于貨到目的港后 天內(nèi)憑上述檢驗機(jī)構(gòu)出具的證明書向賣方要求索賠。如上述規(guī)定之索賠期與質(zhì)量保證期不一致,在質(zhì)量保證期限內(nèi)買方仍可向賣方就質(zhì)量保證條款之內(nèi)容向賣方提出索賠。
The buyers shall lodge claims against the sellers based on the Inspection Certificate issued by China Inspection Authority Days after the arrival of the goods at the destination , if the goods are found to be damaged , missing or the specifications , quantity, and quality not in conformity with those specified in this contract and Letter of Quality Guarantee . In case the claim period above specified is not in conformity with the quality guarantee period, during the quality guarantee period, the buyers have rights to lodge claims against the sellers concerning the quality guarantee.
18.延期交貨違約金
Late delivery and penalty
除雙方認(rèn)可的不可抗力因素外,賣方遲于合同規(guī)定的期限交貨,如買方同意遲延交貨,賣方應(yīng)同意對信用證有關(guān)條款進(jìn)行個性和同意銀行在議付貨款時扣除本條規(guī)定的違約金。違約金總值不超過貨物總價值的5%,差率按7天0.5%計算,不滿7天仍按7天計算。在未采用信用證支付的情況下,賣方應(yīng)將前述方法計算的違約金即付買方。
If the sellers fail to make delivery on time as stipulated in the contract , with exception of Force Majeure, the buyers shall agree to postpone the delivery on conditions that the sellers agree to amend the clauses of the L/C and pay a penalty which shall be deducted by the paying bank from the payment under negotiation . The penalty , however , shall not exceed 5% of the total value of the goods . The rate of penalty is charged at 0.5%for every seven days , if less that seven days. In case , the payment is not made through L/C , the sellers shall pay the penalty counted as above to the buyers as soon as possible.
19.人力不可抗拒:如因人力不可抗拒的原因造成本合同全部或部分不能履約,賣方概不負(fù)責(zé),但賣方應(yīng)將上述發(fā)生的情況及
時通知買方。
Force Majeure : The sellers shall not hold any responsibility for partial or total non-performance of this contract due to Force Majeure . But the sellers shall advise the buyers on times of such occurrence.
20.爭議之解決方式:
Disputes settlement :
□任何因本合同而發(fā)生或與本合同有關(guān)的爭議,應(yīng)提交中國國際經(jīng)濟(jì)貿(mào)易仲裁委員會,按該會的仲裁規(guī)則進(jìn)行仲裁。仲裁地點在中國深圳。仲裁裁決是終局的,對雙方均有約束力。
All disputes arising out of the contract or in connection with the contract , shall be submitted to the China International Economic and Trade Arbitration Commission for arbitration in accordance with its Rules of Arbitration in ShenZhen China . The arbitral award is final and binding upon both parties.

21.法律適用
Law application :
本合同之簽訂地、或發(fā)生爭議時貨物所在地在中華人民共和國境內(nèi)或被訴人為中國法人的,適用中華人民共和國法律,除此規(guī)定外,適用《聯(lián)合國國際貨物銷售公約》。
It will be governed by the law of the People’s Republic of China under the circumstances that the contract is singed or the goods while the disputes arising are in the People’s Republic of China or the deffendant is Chinese legal person , otherwise it is governed by United Nations Convention on Contract for the International Sale of Goods .
22.本合同使用的FOB、CFR、CIF、DDU 術(shù)語系根據(jù)國際商會《Incoterms 1990》

LEASE CONTRACT(租賃合同)
出租方(甲方)Lessor (hereinafter referred to as Party A):
承租方(乙方)Lessee (hereinafter referred to as Party B):
根據(jù)國家有關(guān)法律、法規(guī)和有關(guān)規(guī)定,甲、乙雙方在平等自愿的基礎(chǔ)上,經(jīng)友好協(xié)商一致,就甲方將其合法擁有的房屋出租給乙方使用,乙方承租使用甲方房屋事宜,訂立本合同。
In accordance with relevant Chinese laws 、decrees and pertinent rules and regulations ,Party A and Party B have reached an agreement through friendly consultation to conclude the following contract.
一、物業(yè)地址 / Location of the premises

In this situation, Party A has the right to take back the premises and take actions against party B’s breach.
五、押金 / Deposit
1.為確保房屋及其附屬設(shè)施之安全與完好,及租賃期內(nèi)相關(guān)費(fèi)用之如期結(jié)算,乙方同意于月元整,甲方在收到押金后予以書面簽收。 Guarantying the safety and good conditions of the premises and attached facilities and account of
receipt after receiving the deposit.
2. 除合同另有約定外,甲方應(yīng)于租賃關(guān)系解除且乙方遷空、點清并付清所有應(yīng)付費(fèi)用后的當(dāng)天將押金全額無息退還乙方。
Unless otherwise provided for by this contract, Party A will return full amount of the deposit without interest on the day when this contract expires and party B clears the premises and has paid all due rental and other expenses.
3. 因乙方違反本合同的規(guī)定而產(chǎn)生的違約金、損壞賠償金和其它相關(guān)費(fèi)用,甲方可在押金中抵扣,不足部分乙方必須在接到甲方付款通知后十日內(nèi)補(bǔ)足。
In case party B breaches this contract, party A has right to deduct the default fine, compensation for damage or any other expenses from the deposit. In case the deposit is not sufficient to cover such items, Party B should pay the insufficiency within ten days after receiving the written notice of payment from Party A.
4. 因甲方原因?qū)е乱曳綗o法在租賃期內(nèi)正常租用該物業(yè),甲方應(yīng)立即全額無息退還押金予乙方,且乙方有權(quán)追究甲方的違約責(zé)任。
If Party B can’t normally use the apartment because of Party A, Party A should return the deposit to Party B at once. And, Party B has the right to ask for the compensation from Party A.
六、甲方義務(wù) / Obligations of Party A
1.甲方須按時將房屋及附屬設(shè)施(詳見附件)交付乙方使用。
Party A will provide the premises and attached facilities (see the appendix of furniture list for detail) on schedule to Party B for using.
2. 房屋設(shè)施如因質(zhì)量原因、自然損耗、不可抗力或意外事件而受到損壞,甲方有修繕并承擔(dān)相關(guān)費(fèi)用的責(zé)任。如甲方未在兩周內(nèi)修復(fù)該損壞物,以致乙方無法正常使用房屋設(shè)施,乙方有權(quán)終止該合約,并要求退還押金。
In case the premise and attached facilities are damaged by quality problems, natural damages or
accidents, Party A will be responsible to repair and pay the relevant expenses. If Party A can’t repair the damaged facilities in two weeks so that Party B can’t use the facilities normally, Party B has the right to terminate the contract and Party A must return the deposit.
3. 甲方應(yīng)確保出租的房屋享有出租的權(quán)利,如租賃期內(nèi)該房屋發(fā)生所有權(quán)全部或部分轉(zhuǎn)移、設(shè)定他項物權(quán)或其他影響乙方權(quán)益的事件,甲方應(yīng)保證所有權(quán)人、他項權(quán)利人或其他影響乙方權(quán)益的第三者能繼續(xù)遵守本合同所有條款,反之如乙方權(quán)益因此遭受損害,甲方應(yīng)負(fù)賠償責(zé)任。 Party A will guarantee the lease right of the premises. In case of occurrence of ownership transfer in whole or in part and other accidents affecting the right of lease by party B, .party A shallguarantee that the new owner, and other associated ,third parties shall be bound by the terms of this contract. Otherwise, Party A will be responsible to compensate party B’s losses.
七、乙方義務(wù)/ Obligations of Party B
1.乙方應(yīng)按合同的規(guī)定按時支付租金及押金。
Party B will pay the rental and the deposit on time.
2.乙方經(jīng)甲方同意,可在房屋內(nèi)添置設(shè)備。租賃期滿后,乙方將添置的設(shè)備搬走,并保證不影響房屋的完好及正常使用。
Party B may add new facilities with Party A’s approval. When this contract expires, Party B may take away the added facilities without changing the good conditions of the premises for normal use.
3.未經(jīng)甲方同意,乙方不得將承租的房屋轉(zhuǎn)租或分租,并愛護(hù)使用該房屋如因乙方過失或過錯致使房屋及設(shè)施受損,乙方應(yīng)承擔(dān)賠償責(zé)任。
Party B will not transfer the lease of the premises or sublet it without Party A’s approval and should take good care of the premises. Otherwise, Party B will be responsible to compensate any damages of the premises and attached facilities caused by its fault and negligence.
4. 乙方應(yīng)按本合同規(guī)定合法使用該房屋,不得擅自改變使用性質(zhì)。乙方不得在該房屋內(nèi)存放危險物品。否則,如該房屋及附屬設(shè)施因此受損,乙方應(yīng)承擔(dān)全部責(zé)任。
Party B will use the premises lawfully according to this contract without changing the nature of the p
remises and storing hazardous materials in it. Otherwise, Party B will be responsible for the damages caused by it.
5.乙方應(yīng)承擔(dān)租賃期內(nèi)的'水、電、煤氣、電話費(fèi)、收視費(fèi)、一切因?qū)嶋H使用而產(chǎn)生的費(fèi)用,并按單如期繳納。
Party B will bear the cost of utilities such as telephone communications, water, electricity and gas on time during the lease term.
八、合同終止及解除的規(guī)定/ Termination and dissolution of the contract
1. 乙方在租賃期滿后如需續(xù)租,應(yīng)提前一個月通知甲方,由雙方另行協(xié)商續(xù)租事宜。在同等條件下乙方享有優(yōu)先續(xù)租權(quán)。
Within one month before the contract expires, Party B will notify Party A if it intends to extend the lease. In this situation, two parties will discuss matters over the extension. Under the same terms Party B has the priority to lease the premises.
2. 租賃期滿后,乙方應(yīng)將房屋交還甲方;任何滯留物,如未取得甲方諒解,均視為放棄,任憑甲方處置,乙方?jīng)Q無異議。
When the lease term expires, Party B will return the premises and attached facilities to Party A. Any belongings left in it without Party A’s previous understanding will be deemed to be abandoned by Party
B. In this situation, Party A has the right to dispose of it and Party A will raise no objection.
3. 本合同一經(jīng)雙方簽字后立即生效;未經(jīng)雙方同意,不得任意終止,如有未盡事宜,甲、乙雙方可另行協(xié)商。
This contract will be effective after being signed by both parties. Any party has no right to terminate this contract without another party’s agreement. Anything not covered in this contract will be discussed separately by both parties.
九、違約及處理/ Breach of the contract
1. 甲、乙雙方任何一方在未征得對方諒解的情況下,不履行本合同規(guī)定條款,導(dǎo)致本合同中途終止,則視為該方違約,雙方同意違約金為 元整,若違約金不足彌補(bǔ)無過錯方之損失,則違約方還需就不足部分支付賠償金。
During the lease term, any party who fails to fulfill any article of this contract without the other party’s understanding will be deemed to breach the contract. Both parties agree that the default fine will be RMB . In case the default fine is not sufficient to cover the loss suffered by the faultless party, the party in breach should pay additional compensation to the other party.
2. 若雙方在執(zhí)行本合同或與本合同有關(guān)的事情時發(fā)生爭議,應(yīng)友好協(xié)商;協(xié)商不成,可向有管轄權(quán)的人民法院提起訴訟。
Both parties will solve the disputes arising from execution of the contract or in connection with the contract through friendly consultation. In case the agreement cannot be reached, any party may summit the dispute to the court that has the jurisdiction over the matter.
十、其他 / Miscellaneous
1.本合同附件是本合同的有效組成部分,與本合同具有同等法律效力。

4. 房屋基本設(shè)施和結(jié)構(gòu)(不包括乙方損壞的家私和器具)損壞時,甲方有修繕的責(zé)任并承擔(dān)有關(guān)的費(fèi)用,并對其作定期修保。
Party A is responsible for repairing and maintaining the basic facilities (excluding furniture and appliances damaged by Party B), the structure of the leased property and for bearing all costs related thereto.

六、乙方的責(zé)任 Obligations of Party B:

Party B may, with the prior written consent of Party A, renovate and install additional facilities in the leased property. Party B shall keep the premise clean once returning it to Party A.
3. 乙方應(yīng)愛護(hù)使用租賃的房屋,如因乙方的過失或過錯致使房屋及設(shè)施受到損壞(正常損耗除外),乙方應(yīng)負(fù)賠償責(zé)任。 Party B shall treat the leased property with care. If, as a result of party B’s negligence or misconduct, the leased property and the related facilities suffer any damage (fair wear and tear exempt), Party B shall be responsible for compensating Party A for such damages.
4. 乙方應(yīng)按本合同的約定合法使用租賃房屋,不得擅自改變使用性質(zhì),不應(yīng)存放中華人民共和國法律下所禁止的危險的物品,如因此發(fā)生損害,乙方應(yīng)承擔(dān)全部責(zé)任。Party B shall use the leased property legally as agreed in this Agreement and may not change such use on its own. Party B shall not store any dangerous items which are prohibited by the laws in the People’s Republic of China in the leased property and shall be fully responsible for any damages or losses as a result thereof.
5. 未經(jīng)甲方事先書面同意,乙方不得將承租的房屋轉(zhuǎn)租或分租給其他的第三方.

七、違約處理Breach of Agreement:
1. 甲、乙任何一方在未征得對方諒解的情況下,不履行本合同規(guī)定條款,導(dǎo)致本合同中途中止,則視為該方違約,雙方同意違約金為人民幣元整(¥ ),若違約金不足彌補(bǔ)無過錯方之損失,則違約方還需就不足部分支付賠償金。 During the lease term, any party who fails to fulfill any article of this contract without the other party’s (¥party in breach should pay additional compensation to the other party.

八、不可抗力 Force Majeure:

九、適用法律Applicable Law:
本合同的成立,其有效性,解釋,簽署和解決與其有關(guān)的一切糾紛均應(yīng)受中國法律的管轄并依據(jù)中國法律解釋。The formation of this Agreement, its validity, interpretation, execution and settlement of any disputes arising hereunder shall be governed by and construed in accordance with the laws of the People’s Republic of China.
十、爭議的解決 Dispute Resolution:

1. 本合同附件是本合同不可分割的組成部分,具有同等法律效力。

If this Agreement is unclear with respect to certain matters, the two parties shall discuss to resolve such ambiguities.

If Clause 4.2 is brought into effect, and the said deposit is insufficient to cover Party A’s costs, Party B should pay the extra amount to Party A within ten days of receipt of Party A’s invoice notice.

To undertake responsibility and assume such costs for timely repairs to furniture, electrical appliances and other facilities that are damaged or have malfunctioned through normal usage by Party B.
6.3 督促物業(yè)公司提供充分的保安、消防工作及安靜清潔的居住環(huán)境。 To supervise the estate management office to provide adequate security, fire prevention and quirt & circumstance.
6.4 督促管理公司向乙方提供所應(yīng)提供的服務(wù),如冷水、熱水、電的供應(yīng)及
各種設(shè)備(包括空調(diào))的正常工作,并提供公共區(qū)域和公共設(shè)施的開放,如健身房、兒童房和其他娛樂場所。督促公共區(qū)域和公共設(shè)施的清潔;公共區(qū)域的照明并提供道路指示牌。督促道路和公共區(qū)域的維護(hù);督促修理、保養(yǎng)和更換大廈的保安設(shè)施、消防設(shè)施、電器設(shè)施、變壓器、煤氣、排水、空調(diào)、電梯和其它設(shè)施。
To ensure the estate manager to provide proper service to Party B, such as supply of cold water, hot water, electricity, proper maintenance of all kinds of equipment (including air-conditioners), and to provide free access to public areas and facilities such as gymnasium, children’s room and other recreational areas. To clean public areas and facilities; to illuminate public areas and provide signs; to repair access ways and public areas; to repair, maintain, and replace security, fire fighting and electrical appliances, transformer, gas, sewage, air conditioning systems, elevators, lifts and other facilities of the building.
6.5 保證物業(yè)的合法性,保證有合法權(quán)利出租該物業(yè)。
Ensure the legality of the leased property. Ensure its legal rights to lease the property.
6.6 負(fù)責(zé)因違反上述責(zé)任而對乙方造成的所有損失的賠償。
To compensate Party B for all loss arising from any breach of the above-mentioned responsibilities.
6.7負(fù)責(zé)開通電話及寬帶,負(fù)責(zé)乙方入住前清潔室內(nèi)衛(wèi)生.
七、 乙方責(zé)任:
Tenant’s Responsibilities:
7.1 乙方應(yīng)按本租約三、四、五條款規(guī)定交付租金,押金和各項費(fèi)用,如有
拖欠,則作違約論。
Party B should promptly pay the rent, deposit and other charges as set out in Clauses 3,4 and 5of the Agreement. Non-payment of these charges constitutes a breach of this Agreement.
7.2 租賃期內(nèi)未經(jīng)甲方同意,乙方不能轉(zhuǎn)租其所租房屋,私自轉(zhuǎn)讓無效。 During the period of Tenancy, unless with the agreement of Party A, Party B cannot sub-let or let in part or in full the leased property to other Party.
7.3 乙方應(yīng)愛護(hù)房屋及其設(shè)備,如因使用不當(dāng)導(dǎo)致?lián)p壞應(yīng)負(fù)責(zé)賠償。
Party B must take care of the property and its contents, otherwise Party B should pay compensation to Party A for his improper use of the property.
7.4 在房內(nèi)已有的裝飾和設(shè)施之外,乙方如要增加設(shè)備或其他裝修須征得甲
方同意;租賃期滿必須恢復(fù)原狀如有損壞(正常使用磨損、結(jié)構(gòu)或原有的問題除外),并承擔(dān)其費(fèi)用,經(jīng)甲方驗收認(rèn)可后歸還甲方。
In addition to the decoration and equipment already in the property, if Party B wishes to make any alterations or decorate the property, Party B should get the permission from Party A. On completion of the tenancy, Party B must hand-over the property to Party A in its original condition ( fair wear and tear, structural and inherent defects expected), and all fees arising from such work have to be borne by Party B.
7.5 保證賠償由于乙方或乙方有關(guān)系的官員、上司、雇員、客人、來訪者、
雇傭工人、代理、執(zhí)照持有者或被邀請人等(統(tǒng)稱與乙方相關(guān)的人)的粗心及疏忽造成的房屋的損害或損失,并允許甲方或其代理人在事先通知后進(jìn)入房屋,對房屋的損失或損害進(jìn)行彌補(bǔ)及修復(fù),在此所發(fā)生的費(fèi)用由乙方負(fù)擔(dān)。
To indemnify Party A for any loss or damage to the leased property from negligent act or omission of Party B or any officer, director, employee, guest, visitor, servant, agent licensee or in invitee of Party B (each referred to hereinafter individually as an “associate” ), to permit Party A or his authorized representatives, with an advance notice, to enter the leased property to repair any such loss or damage at the expense of Party B.
7.6 在甲方預(yù)先通知后,乙方應(yīng)允許甲方或其代理人在有理由的情況下在合
理的時間進(jìn)入及巡視房屋進(jìn)行必要的維修或修復(fù)工作;在租賃期最后一個月內(nèi),允許甲方或其代理人帶領(lǐng)有意租賃或購買房屋的客人視察房屋,但乙方已按第2.2條書面通知甲方將續(xù)租時除外。
With Party A’s notice in advance, Party B should permit Party A and the person authorized by Party A under reasonable circumstances to enter and view the leased property at reasonable hours, to carry out any work and repairs which is necessary to be done. During the last one months of the Tenancy, Party A has the right to show the
leased property to prospective lessors or purchasers, unless according to clause 2.2, Party B has informed Party A of its intention to renew the Lease.
7.7 在未經(jīng)甲方書面同意下,乙方不得擅自設(shè)立、安裝或移動設(shè)施及設(shè)備,
不能擅自設(shè)立隔段,不得擅自對房屋的結(jié)構(gòu)機(jī)關(guān)改動或增加。
Not to erect, install or remove any fixtures or partitioning, or to make any structural additions and alterations without the prior written consent of Party A.
7.8 租賃房屋過程中,必須嚴(yán)格遵守中華人民共和國的有關(guān)法律、細(xì)則、規(guī)
章及法令的規(guī)定,并嚴(yán)格禁止乙方利用房屋進(jìn)行違犯法律及不道德的行為。
Strictly to comply and adhere in the use of the leased property with all laws, regulations and decrees of the People’s Republic of China applicable to such use, and specifically not to permit or suffer the leased property to be used for any purpose that is unlawful or immoral.
7.9 房屋除供乙方居住之外,未經(jīng)甲方書面同意,房屋不可作辦公或協(xié)議未
曾說明之用。上述同意不應(yīng)不合理地拒絕。
To use the leased property exclusively as the residence of his family and not to use the leased property as an office or for any other purpose without the prior written consent or Party A , which consent shall not be ueasonably withheld.
7.10 未經(jīng)甲方書面同意,屋外不得擅自放置標(biāo)示板及陳列任何設(shè)施,不允許
在房外、窗及門上掛曬衣物以影響房屋外觀面貌,該條件不得被不合理拒絕。
Not to affix or display any signboard or other device visible from outside the leased property without the prior written consent of Party A, which consent shall not be ueasonably withheld, and not to use the outside of the leased property or any doors or windows to hang any washing.
7.11 租客必須遵守物業(yè)條例準(zhǔn)則,如出現(xiàn)糾紛需與業(yè)主來協(xié)商調(diào)解。
To obey the regulation is set by the management office, in case any dispute arises, the two parties shall negotiate friendly.
八、 房屋不能居住時其他事件:
Other things:
房屋由于火災(zāi),惡劣天氣,戰(zhàn)爭或其它甲方不可抗拒因素,而不是
因為乙方直接或間接的疏忽及故意行為造成房屋毀壞而不能被正常使用及居住時,乙方從該日起停止支付租金,直至房屋可再被使用及居住時為止,如該房屋因任何不能歸因于乙方的原因不能正常使用超過10天,乙方有權(quán)終止合同并無需承擔(dān)任何責(zé)任,甲方應(yīng)退還剩余部分押金及預(yù)付租金。甲方根據(jù)自己的意愿及經(jīng)濟(jì)、實際意義等原因,沒有義務(wù)必須修繕復(fù)原房屋。若此情況發(fā)生,甲方應(yīng)書面通知乙方,并在作出上述通知的十天之內(nèi)將押金及預(yù)付租金全部退還乙方。
If the leased property are substantially destroyed or damaged by fire, bad weather, war, force major, or other causes beyond the control of Party A and not attributable directly or indirectly to the negligence or malice of Party B or are otherwise rendered unfit for use or occupation, the rent shall cease to be payable from the date the leased property become unfit for use or occupation until the leased property shall again be rendered accessible and fit for use, if the lessor’s property can not be properly used for any reasons beyond 10 days, Party B has the right to terminate the agreement without any
