甲、乙、丙三方經(jīng)友好協(xié)商，本著平等互利、優(yōu)勢互補、合作共贏的原則，就三方共同發(fā)起、共同出資、成立合資公司，達成如下合作協(xié)議：

第一條 合資公司名稱、經(jīng)營范圍、注冊地址及公司形式：

第二條 合資公司注冊資本及各方出資比例、出資形式

1. 合資公司注冊資本為200萬元人民幣（大寫：貳百萬元整）。

2. 各方出資比例及出資形式：

甲、乙、丙三方均以貨幣形式出資，其中甲方以人民幣出資，出資金額100萬元，持有合資公司股權(quán)50%；乙方以人民幣出資，出資金額：80萬元，持有合資公司股權(quán)40%；丙方以瑞典克朗出資，出資金額按繳款當日中國人民銀行基準匯率核算，相當于人民幣10萬元，持有合資公司股權(quán)10% 。

3. 出資期限：

各方出資必須在臨時賬戶開設(shè)后七個工作日內(nèi)一次性足額繳納，存入公司在銀行開設(shè)的驗資賬戶，并聘請法定驗資機構(gòu)驗資，出具驗資報告。

Article 2: Registered capital, proportion and form of capital contribution.

1. Registered capital is 2 million RMB.

2. proportion and form of capital contribution: All three parties contribute in monetary form，Among which party A contributes in RMB amounting to 1000 000 RMB, and holds 50% of the shares; party B contributes in RMB amounting to 800 000 RMB, and holds 40% of the shares; party C contributes in SDK, amounting to 100 000 RMB, and holds 10% of the shares.

3. Time limit of capital contribution: Each party shall pay in full amount at one time within 7 days after the provisional account is opened. The capital will be deposited in the bank verification account, and then we employ statutory capital verification agency to assess capital and provide capital verification report.

第三條、擬設(shè)立公司組織結(jié)構(gòu)

1. 公司成立后，設(shè)董事會，董事會成員共5名，甲方委派兩人出任董事；乙方

委派兩人出任董事；丙方委派一人出任董事。

2. 公司成立后，董事長由甲方委派代表擔任。公司總經(jīng)理由乙方委派代表擔任。財務(wù)經(jīng)理一名，由甲乙雙方共同選任；監(jiān)事一名，由甲方委派人員擔任。合資公司董事長：劉勤學(xué) （甲方）；合資公司法定代表人：郭軍（乙方）。

3. 公司實行董事會領(lǐng)導(dǎo)下的總經(jīng)理負責(zé)制�？偨�(jīng)理是公司經(jīng)營管理和行政工作的組織者和領(lǐng)導(dǎo)者，擁有公司經(jīng)營自主權(quán)，業(yè)務(wù)工作的指揮權(quán)，公司內(nèi)部人事任免權(quán)和對員工的獎懲權(quán)。

Article 3 Organization structure of the joint venture company to be established:

1. Board of directors will be set up after the company is established, including 5 directors, of which 2 are appointed by Party A, 2 by party B, and 1 by party c.

2. Chairman will be appointed by party A, general manager by party B. A financial manager and a supervisor are needed, both appointed by party A. Chairman of the joint venture company: Liu Qinxue (party A); legal representative: Guo Jun(party B).

3. The company to be established practices general manager's responsibility system under the leadership of the board of directors. The General Manager is responsible for the administration of the company. And he owns company operating autonomy, command of bussiness, and personnel management.

第四條、其他約定

1. 新設(shè)立公司獨占 設(shè)備在亞洲地區(qū)的經(jīng)營權(quán)，協(xié)議各方和任何他方均不得單方銷售和租賃該設(shè)備。

2. 由甲、乙、丙各方單獨出資購買的 設(shè)備，均交由新設(shè)立公司進行管理運營，新設(shè)立公司有義務(wù)本著盡職盡責(zé)妥善經(jīng)營的原則，維護該設(shè)備的運營，并實現(xiàn)其商業(yè)價值最大化。各方和任何他方不得單方（包括授權(quán)他方）使用和經(jīng)營該設(shè)備。

Article 4: Other provisions

1. The joint venture company newly established monopolizes managerial authority of the ******* equipment in Asia. Each party and any other party are not allowed to sell and lease the equipment.

2. The facilities each party has bought, will be under the mangement and operation of the newly established joint venture company, the new company shall operate the facilities faithfully and dutifully, and maximize their commercial value. No party and no any other parties are allowed to use and operate the facilities, including authorizing other parties use and operate it.

第五條

本協(xié)議一式 4 份，各方股東各執(zhí)一份，交工商行政管理部門一份，自股東各方簽字蓋章之日起生效。

Article 5 This agreement has 4 copies of the same legal effect, each party holds one copy, and one will be handed to the administrative department for industry and commerce. This agreement comes into force at the moment that all parties sign it.

技術(shù)上所遇到的問題。

Article 3：Party B is responsible to provide relevant technical and market information home and abroad and is ready to answer any technical problem frequently asked by Party A.

第四條、 乙方有義務(wù)向甲方提供有關(guān)個人簡歷和相關(guān)證明材料，甲方要尊重乙

方個人隱私，有義務(wù)妥善保管相關(guān)材料。

Article 4: Party B shall has the obligation to provide Party A with any relevant personal resume and reference documents as necessary. Party A shall respect the personal privacy of Party B and has the obligation to properly keep those materials.

第五條、 乙方同意所研發(fā)的產(chǎn)品所有知識產(chǎn)權(quán)歸甲方所有，乙方不得將相關(guān)技

術(shù)信息泄露給任何第三方，否則需要承擔一切法律后果。

Article 5: Party B hereby agrees that the intellectual property of any product as researched and developed herein shall be owned by Party A. Party B shall not be allowed to disclose any technical information concerned to the third party, or it shall take all the legal consequences.

第六條、 甲乙雙方同意通過緊密合作達到共同目標；每年增加一到三個項目；

每年申請一到三個發(fā)明專利；每年完成一到兩個能夠通過專家認證的

新產(chǎn)品；每年至少向市場推廣兩個產(chǎn)品。

Article 6: Both Parties agree to achieve their common goals by their close cooperation. It is planned to add one to three projects each year and to apply for one to three patents for inventions each year, to make one to two new products certified by experts each year, and to promote at least two products to the market each year.

第七條、 此協(xié)議甲乙雙方各執(zhí)一份，沒有在協(xié)議中提到的事項雙方需協(xié)商解決。 Article 7: This Agreement is held by both Parties, one for each respectively. Any issue not mentioned in this Agreement shall be settled by both Parties through negotiation.

此協(xié)議從簽字當日起生效。
