經(jīng)友好協(xié)商，甲、乙雙方就國際教育合作事宜達(dá)成以下協(xié)議。
Through friendly negotiations, Party A and Party B have reached the following agreement on issues of international education cooperation.
一、合作雙方
甲方是中國教育部直屬211工程大學(xué)，是具有自主辦學(xué)資質(zhì)的高等教育機構(gòu)，可與外國教育機構(gòu)合作，開展教師交流、學(xué)生交換和留學(xué)預(yù)科教育和中外合作辦學(xué)等國際教育交流合作。
美國XXXX大學(xué)是XXXX性質(zhì)大學(xué)，也是中國教育部承認(rèn)學(xué)歷的美國正規(guī)大學(xué)。 I. The two Parties
As one of 211 Project universities directly subordinated to the Ministry of Education of P.R.China , Party A is a higher educational institution having the qualification of running a school independently. The international education exchange and cooperation can cover such areas as cooperation with foreign educational institutions, teacher exchange, student exchange and programs of preparatory courses as well as running a school with foreign counterparts.
XXXXXX University, XXXXXXinstitution of higher learning in the United States, is accredited by The Higher Learning Commission of the North Central Association. As a regular university of U.S.A, its academic credentials have also been admitted by the Chinese Ministry of Education.
二、合作目的與宗旨
甲乙雙方以互惠、互信、互利為原則，發(fā)揮各自的資源優(yōu)勢進(jìn)行合作，以取得良好的經(jīng)濟(jì)和社會效益，提升各自的社會影響力。甲方提供教育平臺和教育硬件，乙方引進(jìn)美國優(yōu)質(zhì)的教育資源和先進(jìn)的美國教育管理，雙方合作開發(fā)中美兩國教育市場。 II. Purpose & Aim
Taking mutual trust, mutual reciprocity and mutual benefit as the principle, both Party A and Party B shall cooperate on one’s own resource advantages in order to reap favorable social and economic benefits, and promote one’s own social influence power. Party A shall offer the educational platform and educational hardware, and Party B shall introduce high-quality educational resources and advanced ideas in educational administration from U.S.A. Both sides shall tap the education market in both China and the U.S. cooperatively.
三、合作內(nèi)容及方式
1、 甲乙雙方合作，在甲方開辦赴美留學(xué)的培訓(xùn)項目。
2、 赴美培訓(xùn)項目為非學(xué)歷教育，引進(jìn)全美大學(xué)通用的，可替代托福成績的ESL英語
證書培訓(xùn)課程，目的是為了使留美學(xué)生到美國后，其英語水平能夠達(dá)到與母語為英語的學(xué)生一起上課的要求。
3、 由甲方提供場所及教學(xué)設(shè)施，負(fù)責(zé)招生，乙方提供課程的全部師資、教材、教育
教學(xué)軟件和證書。
4、 招生人數(shù)少于XX人不得開班。
III. Content & Mode
1. Both sides shall cooperate in launching a training program at Party A for
the student to study in the US.
2. Being a non-academic credential education program, the U.S.A training
program shall introduce ESL ---English certificate training course, which is commonly recognized among American universities and can substitute TOEFL scores. Its purpose is to ensure that the students acquire an English language proficiency level high enough for taking classes together with those native English speaking students after they go to the U.S.A.
3. Party A shall offer classrooms and teaching facilities and is responsible
for recruiting new students, while Party B shall provide the overall teaching materials, educational software, teachers of ESL course as well as ESL English certificate which is universally recognized among US universities.
4. The new class shall not be started in case the enrollment is less than XX.
四、甲乙雙方的權(quán)利與義務(wù)
（一）甲方
1、 負(fù)責(zé)赴美留學(xué)項目開辦的相關(guān)立項和報批手續(xù)。
2、 負(fù)責(zé)提供赴美留學(xué)英語培訓(xùn)項目的教學(xué)設(shè)施及相關(guān)服務(wù)。
3、 負(fù)責(zé)教學(xué)質(zhì)量的監(jiān)控，確保教學(xué)計劃的順利實施。如乙方所提供的師資質(zhì)
量出現(xiàn)問題，甲方有權(quán)保留提出整改并進(jìn)一步更換師資的權(quán)利
4、 負(fù)責(zé)項目宣傳和招生。
5、 負(fù)責(zé)收取學(xué)生的學(xué)費、住宿費等。
6、 負(fù)責(zé)按照本協(xié)議的約定，將乙方應(yīng)分得學(xué)費及時、足額地支付給乙方。
7、 負(fù)責(zé)教學(xué)安排和學(xué)生管理。
8、 負(fù)責(zé)美方教師的食宿安排，并支付規(guī)定的食宿費，共計每人每年人民幣
XXXX元，其中住宿費為人民幣XXXX元/年/人，伙食費為XXXX元/年/
人。
（二）乙方
1、 同意甲方以與美國XXXX大學(xué)合作的名義開展赴美留學(xué)英語培訓(xùn)項目。
2、 負(fù)責(zé)為甲方提供招生宣傳資料和招生簡章的主要內(nèi)容。
3、 負(fù)責(zé)提供留美預(yù)科班的全部師資、教材、教學(xué)軟件和全美大學(xué)通行的ESL
英語證書。并確保提供師資的質(zhì)量，自愿接受甲方的教學(xué)監(jiān)控。
4、 負(fù)責(zé)美方教師往返中國的機票和薪酬。
5、 負(fù)責(zé)美方教師在中國期間的人身意外和醫(yī)療保險。
6、 負(fù)責(zé)為參加赴美留學(xué)英語培訓(xùn)班學(xué)習(xí)的學(xué)生申請美國大學(xué)，并為美國大學(xué)
錄取。
7、 負(fù)責(zé)為赴美留學(xué)英語培訓(xùn)班的學(xué)生申請到美國大學(xué)給予國際學(xué)生最優(yōu)厚
的獎學(xué)金。
8、 負(fù)責(zé)為赴美留學(xué)英語培訓(xùn)班的學(xué)生提供赴美簽證培訓(xùn)和代理赴美簽證服
務(wù)。
IV. Rights & Obligations of both parties
(1) Party A:
1. To be responsible for relevant formalities in launching, reporting and obtaining approval for the Study in U.S.A training program of ESL.
2. To be responsible for offering teaching facilities and relevant services for the Study in U.S.A training program of ESL.
3. To be responsible for the supervision and control of the teaching quality to ensure the smooth implementation of the program. Should the teachers dispatched by Party B not match the quality requirements, Party A reserves the right to demand correction and change the teachers concerned.
4.To be responsible for propagating and enrolling new students of the Program.
5. To be responsible for gathering tuition fees and dormitory charges from students.
6. To be responsible for paying in full and in time the part of tuition fees due to Party B according to the terms of this Agreement.
7. To take charge of teaching arrangement and managing students.
8. To be responsible for arranging dormitory for US teachers and pay the living expenses as stipulated, i.e. RMB XXXX yuan in total per person per year, of which hotel expense is RMBXXXX yuan / year / person, board expenses for RMBXXXX/ year/ person.
(II) Party B:
1. To agree for Party A to launch the Study in U.S.A training program of
ESL in the name of cooperating with XXXX University.
2. To be responsible for offering the main content of the propaganda
material and school admission brochure for Party A.
3. To be responsible for providing all the teachers of the Study in U.S.A
preparatory course Program,teaching materials, teaching software and ESL English Certificate commonly recognized among US universities.
4. To be responsible for the US teachers’ plane tickets and salary to
China.
5. To be responsible for the US teachers’ personal accident and medical
insurance during their stay in China.
6. To apply for students who participate in the Program of Studying in U.S.A
training program of ESL, and ensure that they are admitted by a US university.
7. To be responsible for applying for the best scholarship which the US
university can grant to international students for students in the Program of Studying at U.S.A training program of ESL.
8. To offer the necessary training and service of visa application to
students in the Program of Studying in U.S.A training program of ESL to facilitate their obtaining the US entry visa.
五、收費和雙方利益分配
1、 學(xué)費： 培訓(xùn)、考試及證書費用為每人每期XXXX元人民幣，報到注冊時一次性-交
清。其中甲方分得XX％，乙方分得XX％；各自用于辦學(xué)成本開支。學(xué)費由甲方統(tǒng)一收取，在每個學(xué)期開學(xué)后15個工作日內(nèi)由甲方將乙方應(yīng)分得部分劃入乙方在北京的指定賬戶。
2、 教材費：由乙方以合理價格收取。
3、 學(xué)生住宿費：按甲方標(biāo)準(zhǔn)收取。
Ⅴ. Charges and Profits Distribution
1. Tuition fee: RMB XXXX yuan per student for the program, collected at the time of registration. Party A shall get a proportion of XX% from the tuition and Party B shall get XX%, each side shall use it to cover the respective education cost. All the tuition shall be collected by Party A, and within 15 work days at the beginning of the each semester, Party A shall transfer the part of tuition due to Party B into the designated account of Party B in Beijing.
2. Textbook charge shall be collected by Party B at reasonable price.
3.Dormitory shall be charged at the standard set by Party A.
六、合作期限
本協(xié)議自甲、乙雙方簽字之日起生效，有效期兩年。協(xié)議到期前三個月，如雙方一致認(rèn)為可以繼續(xù)合作，可正式續(xù)簽書面協(xié)議。
Ⅵ. Cooperation Term
The agreement shall come into effect after being signed by both sides, and it shall last for two years since the signed date. If both sides consider it necessary to continue the cooperation, then an official written agreement of extension shall be signed three months before the expiration.
七、協(xié)議的變更
本協(xié)議未盡事宜，或需變更，需經(jīng)甲、乙雙方共同協(xié)商，做出書面補充協(xié)議；補充協(xié)議與本協(xié)議具有同等法律效力。
Ⅶ. Change of the Agreement
Any change or affairs not stated in this agreement shall be covered by written supplemental agreement reached between both sides through negotiation. The supplemental agreement has the same legal effect as this agreement.
八、協(xié)議的終止和不可抗力
1、 本協(xié)議有效期滿時，自動終止。
2、 由于政治原因、自然災(zāi)害、戰(zhàn)爭及其它不可預(yù)見因素，或?qū)ζ浒l(fā)生及后果不能
防止或避免的不可抗拒因素影響本協(xié)議的履行或不能按預(yù)定條件履行的，遇
上述不可抗拒因素的一方應(yīng)立即通知對方，并應(yīng)在三十日內(nèi)提供詳情及有效
證明文件。因不可抗力致使本協(xié)議中止時，簽約雙方互不承擔(dān)經(jīng)濟(jì)責(zé)任。因
不可抗力致使本協(xié)議中止時，簽約雙方應(yīng)共同對參加本教育項目學(xué)習(xí)的學(xué)生
做出妥善安排，并將學(xué)生的損失降到最低限度。
3、 本協(xié)議執(zhí)行期間，任何一方如有不規(guī)范操作，違背協(xié)議約定，在對方提出三次
整改要求后仍未改正的情況下，對方有權(quán)提出解除本協(xié)議。但甲、乙雙方應(yīng)
繼續(xù)履行各自職責(zé)，完成未完成的培訓(xùn)，不得侵犯已入學(xué)學(xué)生的合法權(quán)益。
Ⅷ. Termination and Force Majeure
1. The agreement will be automatically terminated upon expiration.
2. When unpredictable circumstances like political policy, natural disasters, war or other force majeure whose occurrence and consequences cannot be prevented, and which leads to the situation in which the agreement cannot be carried out or be implemented as planned, the Party who suffers one of the above shall notify the counterpart without delay and provide details and valid supporting
documents within thirty days. If the agreement has to terminate because of force majeure, neither side shall bear the economic responsibilities. In addition, both Parties shall make proper arrangements for participants of the education program, and do their best to minimize the students’loss.
3. During implementation of the agreement, if any Party’s improper conducts breach the agreement, and the said Party makes no corrections after the counterpart’s warning for three times, the counterpart shall have the right to suggest terminating the agreement.
Nevertheless, both sides have duties to complete the ongoing training and must not violate the legal rights and interests of the enrolled students.
九、違約責(zé)任的認(rèn)定和賠償
1、 簽約的任何一方，不能按約定的時間、方式和要求履行本協(xié)議應(yīng)承擔(dān)的責(zé)任、義
務(wù)，均視為違約。
2、 違約方因其違約行為造成本協(xié)議目標(biāo)不能實現(xiàn)或給簽約對方造成經(jīng)濟(jì)損失，均應(yīng)
承擔(dān)相應(yīng)的賠償責(zé)任。
3、 違約方因其違約行為或因已方不當(dāng)行為侵害了教育項目的學(xué)生合法權(quán)益，或社會
相關(guān)方面合法權(quán)益，或違反了中國法律及政府法令，均應(yīng)獨自承擔(dān)相應(yīng)的法律責(zé)任。
4、 違約方因其違約行為或因已方不當(dāng)行為引發(fā)與第三方糾紛，致使無責(zé)任的簽約方
被要求承擔(dān)連帶賠償責(zé)任時，無責(zé)任的簽約方有權(quán)要求有違約責(zé)任或?qū)嵤┎划?dāng)行為的簽約方賠償相應(yīng)的損失。
Ⅸ. Establishment of Breach Responsibilities and Indemnifications
1. It shall be regarded as breach if any side cannot implement the agreement and perform its own duties or responsibilities in accordance with the time, manner and requirements stipulated.
2. If behaviors of the breach side cause the objective of the agreement not being realized or cause economic loss for the counterpart, the breach side shall bear the relevant compensation duties.
3. If the breach behavior or improper behavior of the breach side violates the legal rights or interests of the students in this education program, or the relevant legal rights or interests of related organizations in the society, or the laws or government decrees of PRC, the breach side shall undertake the related legal duties independently.
4. If the breach behavior or improper behavior of the breach side causes dispute with a third Party and involves the counterpart into the compensation affairs, the Party who has no fault shall have the right to request the breach side (or the side which has improper behaviors) to indemnify the relevant loss.
十、爭議的解決
1、 在履行本協(xié)議的過程中，甲、乙雙方欲告之對方的重要事項，以書面確認(rèn)函的內(nèi)
容為準(zhǔn)。
2、 本協(xié)議在執(zhí)行過程中如發(fā)生爭議時，先由甲、乙雙方協(xié)商解決。
3、不能協(xié)商解決的爭議，甲、乙雙方可向有管轄權(quán)的人民法院起訴。
Ⅹ. Dispute Settlement
1. In the process of agreement implementation, notification of important matters by one Party to the other shall be based on the content of the confirmation letter.
2．Any dispute in the implementation of the agreement shall first be resolved through negotiation by the two Parties.
3. As to disputes which cannot be solved through negotiation, both sides may appeal to the People’s Court with jurisdiction.
十一、其它
本協(xié)議用中英文兩種文字書寫，共四份，甲、乙雙方各執(zhí)兩份，具有同等法律效力。 Ⅺ. Others
The agreement is drawn up in both the Chinese and the English languages in quadruplicate. Party A and Party B shall hold two copies respectively and each copy has equal legal effects.

根據(jù)“中華人民共和國教育部與加拿大不列顛哥倫比亞省諒解備忘錄”條款，“鼓勵和認(rèn)證在對方國家或省開展符合雙方標(biāo)準(zhǔn)的辦學(xué)項目對雙方是有益的”。甲方是加拿大不列顛哥倫比亞省注冊的教育機構(gòu)，乙方是浙江省教育局所屬教育機構(gòu)。為了培養(yǎng)中國社會主義建設(shè)事業(yè)的各類人才，協(xié)議雙方經(jīng)多次友好協(xié)商，同意共同建立中外合作辦學(xué)項目。
協(xié)議正文：
一、中外合作辦學(xué)項目名稱：

二、中外合作辦學(xué)項目地點：
三、中外合作辦學(xué)項目不具有法人資格；合作期限7年。
四、中外合作辦學(xué)項目的投資總額為２００萬元人民幣，甲方占８５%出資；乙方占１５%出資。甲方以現(xiàn)金出資，乙方以辦學(xué)設(shè)施出資作為辦學(xué)投入。
五、中外合作辦學(xué)項目培養(yǎng)目標(biāo)：與國際接軌的綜合職業(yè)能力的高素質(zhì)勞動者。
六、中外合作辦學(xué)項目辦學(xué)規(guī)模：６—20班，每班40—50學(xué)員。
七、中外合作辦學(xué)項目辦學(xué)層次：中加高中學(xué)歷
八、中外合作辦學(xué)項目辦學(xué)形式：長短結(jié)合、學(xué)歷教育和短期英語教育并舉、與加拿大高等教育相銜接。
九、中外合作辦學(xué)項目教學(xué)執(zhí)行：學(xué)校執(zhí)行中加兩國教育部門認(rèn)可的教學(xué)計劃，按照國家有關(guān)規(guī)定頒發(fā)學(xué)歷證書或者其他學(xué)業(yè)證書； 頒發(fā)的加拿大教育機構(gòu)的學(xué)歷、學(xué)位證書，應(yīng)當(dāng)與加拿大本國頒發(fā)的學(xué)歷、學(xué)位證書相同，并在加拿大教育部門獲得承認(rèn)，由甲方辦理。
十、中外合作辦學(xué)項目辦學(xué)條件：甲方提供軟件，乙方提供硬件。 十一、中外合作辦學(xué)項目內(nèi)部管理體制：設(shè)立管理委員會，甲方出五位委員，乙方出兩位委員。甲方任主任，乙方任副主任。管委會行使“中華人民共和國中外合作辦學(xué)條例”規(guī)定職權(quán)。
(一)改選或者補選聯(lián)合管理委員會組成人員；
(二)聘任、解聘校長或者主要行政負(fù)責(zé)人；
(三)制定規(guī)章制度；

(四)制定發(fā)展規(guī)劃，批準(zhǔn)年度工作計劃；
(五)籌集辦學(xué)經(jīng)費，審核預(yù)算、決算；
(六)決定教職工的編制定額和工資標(biāo)準(zhǔn)；
(七)決定中外合作辦學(xué)項目終止；
(八)章程規(guī)定的其他職權(quán)。
十二、中外合作辦學(xué)項目經(jīng)費籌措與管理使用：經(jīng)費由甲方負(fù)責(zé)落實，按“中華人民共和國中外合作辦學(xué)條例實施辦法”規(guī)定籌措。乙方為合作項目建立獨立賬戶，依法健全財務(wù)、會計制度。學(xué)校收費項目和標(biāo)準(zhǔn)，依照國家有關(guān)政府定價的規(guī)定確定并公布； 收取的費用應(yīng)當(dāng)主要用于教育教學(xué)活動和改善辦學(xué)條件。 在每個會計年度結(jié)束時制作財務(wù)會計報告，委托社會審計機構(gòu)依法進(jìn)行審計，向社會公布審計結(jié)果，并報審批機關(guān)備案。
十三、雙方共同參與中外合作辦學(xué)項目啟動開辦期工作流程：
中方職責(zé)：
1、向?qū)幉ā⒂嘁逃鞴懿块T直接申請正式設(shè)立中外合作辦學(xué)項目和取得中外合作辦學(xué)許可證；同時取得聘任外籍員工的資格；
2、安排學(xué)生食宿、上課時間、上課地點等教學(xué)組織工作；
3、為所開設(shè)的教學(xué)班安排教室、實驗室、圖書館等有關(guān)硬件設(shè)施；
4、收費和提供辦學(xué)收費專用收據(jù)并辦理納稅等事項；
5、邀請加拿大不列顛哥倫比亞省教育部檢查小組來校，對教學(xué)計劃和實施過程、教育質(zhì)量進(jìn)行指導(dǎo)和監(jiān)督；
6、負(fù)責(zé)安排外方人員交通食宿；安排辦公室；
7、協(xié)助填寫外籍員工申請工作簽證表格并蓋章；

加方職責(zé)：
1、向加拿大不列顛哥倫比亞省教育廳申請“海外高中計劃”開始運作；
2、負(fù)責(zé)招生宣傳、報名；
3、聘請外籍教師和外方校長；
4、制定教學(xué)計劃、按計劃、保質(zhì)保量組織實施教學(xué)；
5、收集和處理學(xué)員對教學(xué)的意見，不斷提高教學(xué)質(zhì)量，保證學(xué)有成效；以維護(hù)學(xué)校的聲譽、保護(hù)受教育者的利益；
6、負(fù)責(zé)派員辦理外方校長、外方教務(wù)長、外籍教師工作簽證； 違約責(zé)任：
甲、乙雙方如違反上述協(xié)議，即視為違約。違約方應(yīng)向非違約方賠償聲譽及經(jīng)濟(jì)損失。
本協(xié)議未盡之處，由甲、乙雙方在共同遵守“中華人民共和國中外合作辦學(xué)條例”和“中華人民共和國中外合作辦學(xué)條例實施辦法”的基礎(chǔ)上協(xié)商解決。甲、乙雙方訂立的補充協(xié)議與本協(xié)議具有同等效力。
本協(xié)議經(jīng)甲、乙雙方簽署蓋章后生效。本協(xié)議一式四份，甲、乙雙方各執(zhí)二份。

三,合作內(nèi)容及方式
甲乙雙方合作,在甲方開辦赴美留學(xué)的培訓(xùn)項目.
赴美培訓(xùn)項目為非學(xué)歷教育,引進(jìn)全美大學(xué)通用的,可替代托福成績的esl英語證書培訓(xùn)課程,目的是為了使留美學(xué)生到美國后,其英語水平能夠達(dá)到與母語為英語的學(xué)生一起上課的要求.
由甲方提供場所及教學(xué)設(shè)施,負(fù)責(zé)招生,乙方提供課程的全部師資,教材,教育教學(xué)軟件和證書.
招生人數(shù)少于xx人不得開班.
iii. content & mode
both sides shall cooperate in launching a training program at party a for the student to study in the us.
being a non-academic credential education program, the u.s.a training program shall introduce esl ---english certificate training course, which is commonly recognized among american universities and can substitute toefl scores. its purpose is to ensure that the students acquire an english language proficiency level high enough for taking classes together with those native english speaking students after they go to the u.s.a.
party a shall offer classrooms and teaching facilities and is responsible for recruiting new students, while party b shall provide the overall teaching materials, educational software, teachers of esl course as well as esl english certificate which is universally recognized among us universities.
the new class shall not be started in case the enrollment is less than xx.
四,甲乙雙方的權(quán)利與義務(wù)
(一)甲方
負(fù)責(zé)赴美留學(xué)項目開辦的相關(guān)立項和報批手續(xù).
負(fù)責(zé)提供赴美留學(xué)英語培訓(xùn)項目的教學(xué)設(shè)施及相關(guān)服務(wù).
負(fù)責(zé)教學(xué)質(zhì)量的監(jiān)控,確保教學(xué)計劃的順利實施.如乙方所提供的師資質(zhì)量出現(xiàn)問題,甲方有權(quán)保留提出整改并進(jìn)一步更換師資的權(quán)利
負(fù)責(zé)項目宣傳和招生.
負(fù)責(zé)收取學(xué)生的學(xué)費,住宿費等.
負(fù)責(zé)按照本協(xié)議的約定,將乙方應(yīng)分得學(xué)費及時,足額地支付給乙方.
負(fù)責(zé)教學(xué)安排和學(xué)生管理.
負(fù)責(zé)美方教師的食宿安排,并支付規(guī)定的食宿費,共計每人每年人民幣xx-xx元,其中住宿費為人民幣xx-xx元/年/人,伙食費為xx-xx元/年/人.
(二)乙方
同意甲方以與美國xx-xx大學(xué)合作的名義開展赴美留學(xué)英語培訓(xùn)項目.
負(fù)責(zé)為甲方提供招生宣傳資料和招生簡章的主要內(nèi)容.
負(fù)責(zé)提供留美預(yù)科班的全部師資,教材,教學(xué)軟件和全美大學(xué)通行的esl英語證書.并確保提供師資的質(zhì)量,自愿接受甲方的教學(xué)監(jiān)控.
負(fù)責(zé)美方教師往返中國的機票和薪酬.
負(fù)責(zé)美方教師在中國期間的人身意外和醫(yī)療保險.
負(fù)責(zé)為參加赴美留學(xué)英語培訓(xùn)班學(xué)習(xí)的學(xué)生申請美國大學(xué),并為美國大學(xué)錄取.
負(fù)責(zé)為赴美留學(xué)英語培訓(xùn)班的學(xué)生申請到美國大學(xué)給予國際學(xué)生最優(yōu)厚的獎學(xué)金.
負(fù)責(zé)為赴美留學(xué)英語培訓(xùn)班的學(xué)生提供赴美簽證培訓(xùn)和代理赴美簽證服務(wù).
iv. rights & obligations of both parties
(1) party a:
1. to be responsible for relevant formalities in launching, reporting and obtaining approval for the study in u.s.a training program of esl.
2. to be responsible for offering teaching facilities and relevant services for the study in u.s.a training program of esl.
3. to be responsible for the supervision and control of the teaching quality to ensure the smooth implementation of the program. should the teachers dispatched by party b not match the quality requirements, party a reserves the right to demand correction and change the teachers concerned.
4.to be responsible for propagating and enrolling new students of the program.
5. to be responsible for gathering tuition fees and dormitory charges from students.
6. to be responsible for paying in full and in time the part of tuition fees due to party b according to the terms of this agreement.
7. to take charge of teaching arrangement and managing students.
8. to be responsible for arranging dormitory for us teachers and pay the living expenses as stipulated, i.e. rmb xx-xx yuan in total per person per year, of which hotel expense is rmbxx-xx yuan / year / person, board expenses for rmbxx-xx/ year/ person.
(ii) party b:
to agree for party a to launch the study in u.s.a training program of esl in the name of cooperating with xx-xx university.
to be responsible for offering the main content of the propaganda material and school admission brochure for party a.
to be responsible for providing all the teachers of the study in u.s.a preparatory course program,teaching materials, teaching software and esl english certificate commonly recognized among us universities.
to be responsible for the us teachers' plane tickets and salary to china.
to be responsible for the us teachers' personal accident and medical insurance during their stay in china.
to apply for students who participate in the program of studying in u.s.a training program of esl, and ensure that they are admitted by a us university.
to be responsible for applying for the best scholarship which the us university can grant to international students for students in the program of studying at u.s.a training program of esl.
to offer the necessary training and service of visa application to students in the program of studying in u.s.a training program of esl to facilitate their obtaining the us entry visa.
五,收費和雙方利益分配
學(xué)費: 培訓(xùn),考試及證書費用為每人每期xx-xx元人民幣,報到注冊時一次性-交清.其中甲方分得xx%,乙方分得xx%;各自用于辦學(xué)成本開支.學(xué)費由甲方統(tǒng)一收取,在每個學(xué)期開學(xué)后15個工作日內(nèi)由甲方將乙方應(yīng)分得部分劃入乙方在北京的指定賬戶.
教材費:由乙方以合理價格收取.
學(xué)生住宿費:按甲方標(biāo)準(zhǔn)收取.
Ⅴ. charges and profits distribution
1. tuition fee: rmb xx-xx yuan per student for the program, collected at the time of registration. party a shall get a proportion of xx% from the tuition and party b shall get xx%, each side shall use it to cover the respective education cost. all the tuition shall be collected by party a, and within 15 work days at the beginning of the each semester, party a shall transfer the part of tuition due to party b into the designated account of party b in beijing.
2. textbook charge shall be collected by party b at reasonable price.
3.dormitory shall be charged at the standard set by party a.
六,合作期限
本協(xié)議自甲,乙雙方簽字之日起生效,有效期兩年.協(xié)議到期前三個月,如雙方一致認(rèn)為可以繼續(xù)合作,可正式續(xù)簽書面協(xié)議.
Ⅵ. cooperation term
the agreement shall come into effect after being signed by both sides, and it shall last for two years since the signed date. if both sides consider it necessary to continue the cooperation, then an official written agreement of extension shall be signed three months before the expiration.
七,協(xié)議的變更
本協(xié)議未盡事宜,或需變更,需經(jīng)甲,乙雙方共同協(xié)商,做出書面補充協(xié)議;補充協(xié)議與本協(xié)議具有同等法律效力.
Ⅶ. change of the agreement
any change or affairs not stated in this agreement shall be covered by written supplemental agreement reached between both sides through negotiation. the supplemental agreement has the same legal effect as this agreement.
八,協(xié)議的終止和不可抗力
本協(xié)議有效期滿時,自動終止.
由于政治原因,自然災(zāi)害,戰(zhàn)爭及其它不可預(yù)見因素,或?qū)ζ浒l(fā)生及后果不能防止或避免的不可抗拒因素影響本協(xié)議的履行或不能按預(yù)定條件履行的,遇上述不可抗拒因素的一方應(yīng)立即通知對方,并應(yīng)在三十日內(nèi)提供詳情及有效證明文件.因不可抗力致使本協(xié)議中止時,簽約雙方互不承擔(dān)經(jīng)濟(jì)責(zé)任.因不可抗力致使本協(xié)議中止時,簽約雙方應(yīng)共同對參加本教育項目學(xué)習(xí)的學(xué)生做出妥善安排,并將學(xué)生的損失降到最低限度.
本協(xié)議執(zhí)行期間,任何一方如有不規(guī)范操作,違背協(xié)議約定,在對方提出三次整改要求后仍未改正的情況下,對方有權(quán)提出解除本協(xié)議.但甲,乙雙方應(yīng)繼續(xù)履行各自職責(zé),完成未完成的培訓(xùn),不得侵犯已入學(xué)學(xué)生的合法權(quán)益.
Ⅷ. termination and force majeure
1. the agreement will be automatically terminated upon expiration.
2. when unpredictable circumstances like political policy, natural disasters, war or other force majeure whose occurrence and consequences cannot be prevented, and which leads to the situation in which the agreement cannot be carried out or be implemented as planned, the party who suffers one of the above shall notify the counterpart without delay and provide details and valid supporting documents within thirty days. if the agreement has to terminate because of force majeure, neither side shall bear the economic responsibilities. in addition, both parties shall make proper arrangements for participants of the education program, and do their best to minimize the students'loss.
3. during implementation of the agreement, if any party's improper conducts breach the agreement, and the said party makes no corrections after the counterpart's warning for three times, the counterpart shall have the right to suggest terminating the agreement.
nevertheless, both sides have duties to complete the ongoing training and must not violate the legal rights and interests of the enrolled students.
九,違約責(zé)任的認(rèn)定和賠償
簽約的任何一方,不能按約定的時間,方式和要求履行本協(xié)議應(yīng)承擔(dān)的責(zé)任,義務(wù),均視為違約.
違約方因其違約行為造成本協(xié)議目標(biāo)不能實現(xiàn)或給簽約對方造成經(jīng)濟(jì)損失,均應(yīng)承擔(dān)相應(yīng)的賠償責(zé)任.
違約方因其違約行為或因已方不當(dāng)行為侵害了教育項目的學(xué)生合法權(quán)益,或社會相關(guān)方面合法權(quán)益,或違反了中國法律及政府法令,均應(yīng)獨自承擔(dān)相應(yīng)的法律責(zé)任.
違約方因其違約行為或因已方不當(dāng)行為引發(fā)與第三方糾紛,致使無責(zé)任的簽約方被要求承擔(dān)連帶賠償責(zé)任時,無責(zé)任的簽約方有權(quán)要求有違約責(zé)任或?qū)嵤┎划?dāng)行為的簽約方賠償相應(yīng)的損失.
Ⅸ. establishment of breach responsibilities and indemnifications
1. it shall be regarded as breach if any side cannot implement the agreement and perform its own duties or responsibilities in accordance with the time, manner and requirements stipulated.
2. if behaviors of the breach side cause the objective of the agreement not being realized or cause economic loss for the counterpart, the breach side shall bear the relevant compensation duties.
3. if the breach behavior or improper behavior of the breach side violates the legal rights or interests of the students in this education program, or the relevant legal rights or interests of related organizations in the society, or the laws or government decrees of prc, the breach side shall undertake the related legal duties independently.
4. if the breach behavior or improper behavior of the breach side causes dispute with a third party and involves the counterpart into the compensation affairs, the party who has no fault shall have the right to request the breach side (or the side which has improper behaviors) to indemnify the relevant loss.
十,爭議的解決
1, 在履行本協(xié)議的過程中,甲,乙雙方欲告之對方的重要事項,以書面確認(rèn)函的內(nèi)容為準(zhǔn).
2, 本協(xié)議在執(zhí)行過程中如發(fā)生爭議時,先由甲,乙雙方協(xié)商解決.
3,不能協(xié)商解決的爭議,甲,乙雙方可向有管轄權(quán)的人民法院起訴.
Ⅹ. dispute settlement
1. in the process of agreement implementation, notification of important matters by one party to the other shall be based on the content of the confirmation letter.
2.any dispute in the implementation of the agreement shall first be resolved through negotiation by the two parties.
3. as to disputes which cannot be solved through negotiation, both sides may appeal to the people's court with jurisdiction.
十一,其它
本協(xié)議用中英文兩種文字書寫,共四份,甲,乙雙方各執(zhí)兩份,具有同等法律效力.
Ⅺ. others
the agreement is drawn up in both the chinese and the english languages in quadruplicate. party a and party b shall hold two copies respectively and each copy has equal legal effects.
