2. 委任

Appointment

甲方指定乙方為其獨家代理，為第三條所列商品從第四條所列區(qū)域的顧客中招攬訂單，乙方接受上述委任。

commodity stipulate in Article 3 from customers in the territory stipulated in Article 4,and Party B accepts and assumes such appointment.

6. 價格與支付

Price and Payment

每一筆交易的貨物價格應(yīng)由乙方與買主通過談判確定，并須經(jīng)甲方最后確認。 付款使用保兌的、不可撤銷的信用證，由買方開出，以甲方為受益人。信用證須在裝運日期前______天到達甲方。

The price for each individual transaction shall be fixed through negotiations between Party B and the buyer, and subject to Party A's final confirmation.

Payment shall be made by confirmed, irrevocable L/C opened by the buyer in favor of Party A, which shall reach Parth A ____ days before the date of shipment.

7. 獨家代理權(quán)

Exclusive Right

基于本協(xié)議授予的獨家代理權(quán)，甲方不得直接或間接地通過乙方以外的渠道向中國顧客銷售或出口第三條所列商品，乙方不得在中國經(jīng)銷、分銷或促銷與上述商品相競爭或類似的產(chǎn)品，也不得招攬或接受以到中國以外地區(qū)銷售為目的的訂單，在本協(xié)議有效期內(nèi)，甲方應(yīng)將其收到的來自中國其他商家的有關(guān)代理產(chǎn)品的詢價或訂單轉(zhuǎn)交給乙方。 In consideration of the exclusive rights granted herein, Party A shall not, directly or indirectly, sell or export the commodity stipulated in Article 4 to customers in China through channels other than Party B; Party B shall not sell, distribute or promote the sales of any

products competitive with or similar to the above commodity in China and shall not solicit or accept orders for the purpose of selling them outside China. Party A shall refer to Party B any enquiries or orders for the commodity in question received by Party A from other firms in China during the validity of this agreement.

8. 商情報告

Market Report

為使甲方充分了解現(xiàn)行市場情況，乙方承擔(dān)至少每季度一次或在必要時隨時向甲方提供市場報告， 內(nèi)容包括與本協(xié)議代理商品的進口與銷售有關(guān)的地方規(guī)章的變動、當(dāng)?shù)厥袌霭l(fā)展趨勢以及買方對甲方按協(xié)議供應(yīng)的貨物的品質(zhì)、包裝、價格等方面的意見。乙方還承擔(dān)向甲方提供其他供應(yīng)商類似商品的報價和廣告資料。

In order to keep Party A well informed of the prevailing market conditions, Party B should undertake to supply Party A, at least once a quarter or at any time when necessary, with market reports concerning changes of the local regulations in connection with the import and sales of the commodity covered by this agreement, local market tendency and the buyer's comments on quality, packing, price, etc. of the goods supplied by Party A under this agreement. Party B shall also supply party A with quotations and advertising materials on similar products of other suppliers.

9. 廣告及費用

Advertising and Expenses

乙方負擔(dān)本協(xié)議有效期內(nèi)在中國銷售代理商品做廣告宣傳的一切費用，并向甲方提交所用于廣告的聲像資料，供甲方事先核準(zhǔn)。

Party A shall bear all expenses for advertising and publicity in connection with the commodity in question in China within the validity of this agreement, and shall submit to Party A all audio and video materials intended for advertising for prior approval.

10. 傭金

Commission

對乙方直接獲取并經(jīng)甲方確認接受的訂單，甲方按凈發(fā)票售價向乙方支付___%的傭金。傭金在甲方收到每筆訂單的全部貨款后_____天內(nèi)向乙方支付。

Party A shall pay Party B a commission of_____% on the net invoiced selling price on all orders directly obtained by Party B and accepted by party A. Within _____days from the date Party A receives the full payment for each order, Party A shall paid the commission to Party B.

11. 政府部門間的交易

Transactions Between Governmental Bodies

在甲、乙雙方政府部門之間達成的交易不受本協(xié)議條款的限制，此類交易的金額也不應(yīng)計入第五條規(guī)定的最低業(yè)務(wù)量。

Transactions concluded between govenmental bodies of Party A and Party B shall not be restricted by the terms and conditions of this agreement, nor shall the amount of such transactions be counted as part of the turnover stipulated in Article 5.

12. 工業(yè)產(chǎn)權(quán)

Industrial Property Rights

在本協(xié)議有效期內(nèi)，為銷售有關(guān)洗衣機，乙方可以使用甲方擁有的商標(biāo)，并承認使用于或包含于洗衣機中的任何專利商標(biāo)、版權(quán)或其他工業(yè)產(chǎn)權(quán)為甲方獨家擁有。 一旦發(fā)現(xiàn)侵權(quán)，乙方應(yīng)立即通知甲方并協(xié)助甲方采取措施保護甲方權(quán)益。

Party B may use the trade-marks owned by Party A for the sale of the Washing Machines covered herein within the validity of this agreement, and shall acknowledge that all patents, trademarks, copy rights or any other industrial property rights used or embodied in the

Washing Machines shall remain to be the sole properties of Party A. Should any infringement be found, Party B shall promptly notify and assist Party A to take steps to protect the latter's rights.

13. 協(xié)議有效期

Validity of Agreement

本協(xié)議經(jīng)有關(guān)雙方如期簽署后生效，有效期為_____年，從2____年___月___日至2____年____月____日。 除非作出相反通知，本協(xié)議期滿后將延長______個月。 This agreement, when duly signed by the both parties concerned, shall remain effect for _____ months from ________（date） to ________（date）, and it shall be extended for another ____months upon expiration unless notice in writing is given to the contrary.

14. 協(xié)議的終止

Termination

在本協(xié)議有效期內(nèi)，如果一方被發(fā)現(xiàn)違背協(xié)議條款，另一方有權(quán)終止協(xié)議。 During the validity of this agreement, if either of the two parties is found to have violated the stipulations herein, the other party has the right to terminate this agreement.

15. 不可抗力

Force Majeure

由于水災(zāi)、火災(zāi)、地震、干旱、戰(zhàn)爭或協(xié)議一方無法預(yù)見、控制、避免和克服的其他事件導(dǎo)致不能或暫時不能全部或部分履行本協(xié)議，該方不負責(zé)任。但是，受不可抗力事件影響的一方須盡快將發(fā)生的事件通知另一方，并在不可抗力事件發(fā)生15天內(nèi)將有關(guān)機構(gòu)出具的不可抗力事件的證明寄交對方。

Either party shall not be responsible for failure or delay to perform all or any part of this agreement due to flood, fire, earthquake, draught, war or any other events which could not be predicted, controlled, avoided or overcome by the relative party. However, the party affected by the event of Force Majeure shall inform the other party of its occurrence in writing as soon as possible and thereafter send a certificate of the event issued by the relevant authorities to the other party within 15 days after its occurrence.

16. 仲裁

Arbitration

因凡因本合同引起的或與本合同有關(guān)的任何爭議，均應(yīng)提交中國國際經(jīng)濟貿(mào)易仲裁委員會華南分會，按照申請仲裁時該會實施的仲裁規(guī)則進行仲裁。仲裁裁決是終局的，對雙方均有約束力。

Any dispute arising from or in connection with this contract shall be submitted to China International Economic and Trade Arbitration Commission, South China Sub-Commission for arbitration, which shall be conducted in accordance with the Commission's arbitration rules in effect at the time of applying for arbitration. The arbitral award is final and binding upon both parties.

2. 委任

甲方指定乙方為其獨家代理，為第三條所列商品從第四條所列區(qū)域的顧客中招攬訂單，乙方接受上述委任。

乙方同意，在本協(xié)議有效期內(nèi)從上述代理區(qū)域內(nèi)的顧客處招攬的上述商品的訂單價值不低于10萬美元。

6. 價格與支付

price and payment

每一筆交易的貨物價格應(yīng)由乙方與買主通過談判確定，并須經(jīng)甲方最后確認。

付款使用保兌的、不可撤銷的信用證，由買方開出，以甲方為受益人。信用證須在裝運日期前15天到達甲方。

基于本協(xié)議授予的獨家代理權(quán)，甲方不得直接或間接地通過乙方以外的渠道向新加坡顧客銷售或出口第三條所列商品，乙方不得在新加坡經(jīng)銷、分銷或促銷與上述商品相競爭或類似的產(chǎn)品，也不得招攬或接受以到新加坡以外地區(qū)銷售為目的的訂單，在本協(xié)議有效期內(nèi)，甲方應(yīng)將其收到的來自新加坡其他商家的有關(guān)代理產(chǎn)品的詢價或訂單轉(zhuǎn)交給乙方。

8. 商情報告

market report

為使甲方充分了解現(xiàn)行市場情況，乙方承擔(dān)至少每季度一次或在必要時隨時向甲方提供市場報告，內(nèi)容包括與本協(xié)議代理商品的進口與銷售有關(guān)的地方規(guī)章的變動、當(dāng)?shù)厥袌霭l(fā)展趨勢以及買方對甲方按協(xié)議供給的貨物的品質(zhì)、包裝、價格等方面的意見。乙方還承擔(dān)向甲方提供其他供給商類似商品的報價和廣告資料。

in order to keep party a well informed of the prevailing marketconditions, party b should undertake to supply party a, at leastonce a quarter or at any time when necessary, with market reportsconcerning changes of the local regulations in connection with theimport and sales of the commodity covered by this agreement, localmarket tendency and the buyer's comments on quality, packing,price, etc. of the goods supplied by party a under this agreement.party b shall also supply party a with quotations and advertisingmaterials on similar products of other suppliers.

9. 廣告及費用

10. 傭金

commission

對乙方直接獲取并經(jīng)甲方確認接受的訂單，甲方按凈發(fā)票售價向乙方支付5%的傭金。傭金在甲方收到每筆訂單的全部貨款后才會支付。

11. 政府部門間的交易

transactions between governmental bodies

在甲、乙雙方政府部門之間達成的交易不受本協(xié)議條款的限制，此類交易的金額也不應(yīng)計入第五條規(guī)定的最低業(yè)務(wù)量。

transactions concluded between govenmental bodies of party a andparty b shall not be restricted by the terms and conditions of thisagreement, nor shall the amount of such transactions be counted aspart of the turnover stipulated in article 5.

12. 工業(yè)產(chǎn)權(quán)

industrial property rights

在本協(xié)議有效期內(nèi)，為銷售有關(guān)洗衣機，乙方可以使用甲方擁有的商標(biāo)，并承認使用于或包含于洗衣機中的任何專利商標(biāo)、版權(quán)或其他工業(yè)產(chǎn)權(quán)為甲方獨家擁有。一旦發(fā)現(xiàn)侵權(quán)，乙方應(yīng)立即通知甲方并協(xié)助甲方采取措施保護甲方權(quán)益。

13. 協(xié)議有效期

14. 協(xié)議的終止

15. 不可抗力
